(vi) apabila melaksanakan kuasa bawah s. 181 Akta 1965, mahkamah wajar mempertimbangkan prinsip undang-undang am syarikat, bahawa liabiliti pengarah tidak digantikan dengan relief statutori yang lain atau bawah common law. Kesimpulannya, soalan untuk mahkamah adalah sama ada dalam konteks s. 181 Akta 1965, defendan terkait secara rapat dengan tindakan penindasan, kemudaratan atau prejudis dan adalah adil dan saksama untuk mengenakan liabiliti terhadapnya untuk tindakan sedemikian. [38] Berdasarkan keputusan dan penghakiman Mahkamah Persekutuan, keputusan Mahkamah ini yang menolak OS adalah selaras dan menepati ujian undang-undang yang dinyatakan oleh Mahkamah Persekutuan. [39] Dalam kes Wong Kien Yip & Anor V. Byard Spiral Mill Sdn Bhd & Another Appeal [2022] 5 CLJ 289, Court Of Appeal, Putrajaya The originating summons is, however, brought pursuant to s. 346 of CA 2016. This section embodies a statutory right conferred by the Legislature upon any member or debenture holder of a company , not the company. [41] Section 346(1) of CA 2016, like s. 181 (1) of CA 1965, is widely drafted when compared to the Australian provision. Section 346(1) (b) encompasses acts done as well as hreatened . [42] As for the relief, s. 346(2) of CA 2016 provides that, ... the court may make such order as the court thinks fit with the view to bringing to an end or remedying the matters complied of... . As Nallini Pathmanathan FCJ stated in Auspicious Journey: [86] It is of equal importance to incorporate into this construction the purpose and intent of the legislature in enacting this statutory remedy. It is a remedial provision to arrest the mischief of the inadequacies of the common law in protecting the interests of the minority shareholders as examined earlier. Bearing in mind that judicial pronouncements have pointed out that our s. 181 is wider in scope than the now repealed s. 219 of the English Act, our statutory provision therefore requires a liberal and broad interpretation, not a narrow or restrictive one (see Re Kong Thai Saw Mill (Miri) Sdn Bhd [1978] 1 LNS 170; Owen Sim Liang Khui v. Piasau Jaya Sdn Bhd [1996] 4 CLJ 716; [1996] 1 MLJ 113 (FC) [40] Yang Arif Vazeer ketika Yang Arif di Mahkamah Tinggi Shah Alam memutuskan dalam kes Thirumaran Sinnahiah v. Fiji Lead Sdn Bhd & 4 Ors [2021] 1 LNS 2126 mengenai seksyen 346 Akta Syarikat 2016 yang bersamaan dengan seksyen 181 Akta Syarikat 1965 dan undang-undang kes berkenaan dengan seksyen 181 Akta Syarikat 1965 boleh terpakai juga kepada kes yang difailkan di bawah seksyen 346 Akta Syarikat 2016. [12] The leading case authority on section 181 of the Companies Act 1965 is the Privy Council decision in Re Kong Thai Sawmill (Miri) Sdn Bhd; Kong Thai Sawmill (Mill) Sdn Bhd & Ors v. Ling Beng Sung [1978] 1 LNS 170. Subsequent thereto, the Federal Court had in Pan-Pacific Construction Holdings Sdn Bhd v. Ngui-Kee Corporation (M) Bhd & Anor [2010] 6 CLJ 721 held: [25] Therefore, in order to succeed in its petition pursuant to s. 181 the petitioner has to establish and must eminently be determined according to the facts of this case that the affairs of the company are being conducted or that the powers of the directors are being exercised in an oppressive manner or in disregard of its interests, or to its prejudice some unfairly discriminatory or prejudicial act of the company has been done or threatened, or that some resolutions of the members, debenture holders or any class of them has been passed or is proposed to be passed. [13] And in Genisys Integrated Engineers Pte Ltd v. UEM Genisys Sdn Bhd & Ors [2009] 1 LNS 1201; [2008] 6 MLJ 237 the Court of Appeal held that a judge hearing an application under section 181 of the Companies Act 1965 must not consider events in isolation but as part of a consecutive story. [14] The Federal Court in Looh Siong Chee v. Numix Engineering Sdn Bhd & Ors And Other Appeals [2015] 7 CLJ 561 reiterated that the applicable test to determine an application for relief under section 181 of the Companies Act 1965 is the test as laid down in Re Kong Thai Sawmill and that the basis to determine fairness is that of commercial fairness . The Defendant failed to collect on behalf of the 3rd Plaintiff company commissions due from developers wherein works were completed, resulting in the 3rd Plaintiff not having obtained any revenue for work done. We respectfully submit that a fiduciary relationship exists between the Defendant and the Plaintiffs by virtue of his role in the management of the company, and the autonomy and authority to act in an independent and significant manner.
