Tuntutan Plaintif-Plaintif terhadap Defendan di Mahkamah Sesyen adalah berkaitan gantirugi jumlah tertentu (LAD). Pada 24.02.2021, Hakim Mahkamah Sesyen (HMS) telah membenarkan permohonan Plaintif-Plaintif untuk menggabungkan tindakan Guaman No. WA-A52NCvC-10-01/2021 dan Guaman No. WA-B52NCvC-72- 02/2020 untuk dibicarakan bersama.

Setelah perbicaraan, HMS telah membenarkan sebahagian tuntutan Plaintif-Plaintif atas alasan bahawa Surat Penyelesaian tidak akan mengestopkan hak Plaintif-Plaintif untuk menuntut baki LAD yang belum diterima oleh pembeli perumahan.

Tidak berpuas hati dengan keputusan HMS, Defendan kemudiannya memfailkan rayuan No. WA-12BNCvC-62-08/2021 (Rayuan 62) dan rayuan No. WA-12BNCvC-63-08/2021 (Rayuan 63). Pada 03.11.2021, Mahkamah Tinggi telah membenarkan kedua-dua rayuan ini untuk didengar bersama. Selain itu, Plaintif-Plaintif juga memfailkan Notis Rayuan Balas untuk Rayuan 62 dan Rayuan 63.

Pada 06.01.2025, Mahkamah ini telah menolak rayuan Defendan dengan kos dan membenarkan rayuan balas Plaintif-Plaintif dengan kos untuk Rayuan 62 dan Rayuan 63.

Seterusnya, selepas Mahkamah ini membuat Keputusan berkenaan rayuan dan rayuan balas, pihak-pihak telah memohon 9 untuk mendapatkan klarifikasi dan perintah lanjut di mana Mahkamah telah merekodkan secara persetujuan bersama oleh pihak-pihak seperti berikut-Klarifikasi Perintah Lampiran 1 “Perlanjutan masa oleh Pengawal Perumahan dan/atau Kementerian Kesejateraan Bandar, Perumahan dan Kerajaan Tempatan yang melanjutkan masa untuk menyerahkan pemilikan kosong Parsel Pertama tersebut dan pemilikan kosong Parsel Kedua tersebut kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Parsel Pertama tersebut dan Kemudahan Bersama Parsel Kedua tersebut dari tempoh tiga puluh enam (36) bulan ke empat puluh lapan (48) bulan adalah tidak ultra vires Akta Pemajuan Perumahan (Kawalan Dan Pelesenan) 1966, oleh itu, perlanjutan masa tersebut adalah sah dan mengikat Plaintif-plaintif;

Defendan hendaklah menyerahkan pemilikan kosong Parsel Pertama tersebut dan pemilikan kosong Parsel Kedua tersebut kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Parsel Pertama tersebut dan Kemudahan Bersama Parsel Kedua tersebut dalam tempoh empat puluh lapan (48) bulan seperti yang diperuntukkan dan/atau dikehendaki di bawah Klausa 25(1) dan Klausa 27(1) Jadual H, Peraturan-Peraturan Pemajuan Perumahan (Kawalan Dan Pelesenan) 1989; dan,

(Penekanan Ditambah) [8] Oleh itu, isu berkaitan perlanjutan tempoh masa untuk menyiapkan dan menyerahkan milikan kosong telah dipersetujui adalah 48 bulan. Cuma yang menjadi isu adalah sama ada Plaintif-Plaintif berhak menuntut tambahan LAD selepas Perjanjian Penyelesaian dan juga mengenai tempoh pengiraan LAD bermula dan berakhir. RINGKASAN KES [9] Defendan ialah sebuah syarikat yang diperbadankan di Malaysia (Nombor Pendaftaran Syarikat: 199901011171 [486071-X]) dan merupakan pemaju projek pembangunan perumahan. [10] Defendan membangunkan sebuah projek pembangunan perumahan yang dinamakan sebagai “EKOCHERAS”, lengkap dengan kemudahan bersama, di atas tanah-tanah pegangan kekal yang terletak di Mukim Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur. Tanah-tanah tersebut dipegang di bawah Hakmilik Geran 71914 Lot 55971, Geran 17376 Lot 51449, Geran 60999 Lot 56204, Geran 9106 Lot 41385, PN 35406 Lot 41323, HS(D) 118898 PT 9120, HS(D) 118897 PT 9121, dan HS(D) 118896 PT 9122, dengan keluasan keseluruhan lebih kurang 11,326 ekar (Projek perumahan). [11] Projek perumahan tersebut melibatkan penjualan beberapa buah unit dalam bentuk parsel kepada pembeli-pembeli. Plaintif- Plaintif ialah individu yang membeli beberapa unit parsel dalam projek perumahan tersebut. [12] Plaintif-Plaintif telah masing-masing menandatangani satu surat tawaran untuk pembelian Parsel J-20-11 (Parsel Pertama), J-27-01 (Parsel Kedua) dan J-29-17 (Parsel Ketiga) dengan Responden. Pada 16.12.2023, Plaintif-Plaintif dalam Rayuan 63 telah memasuki Perjanjian Jual Beli bagi parsel J-20-11. Mereka kemudiannya memasuki satu lagi perjanjian pada 10.04.2014 untuk membeli parsel J-27-01. Pada 10.04.2014 juga, Plaintif-Plaintif dalam Rayuan 62 memasuki Perjanjian Jual Beli bagi parsel J-29-17 (SPA). [13] Antara terma-terma SPA tersebut memperuntukkan bahawa pemilikan kosong akan diberikan selepas tamatnya tempoh 48 bulan kalendar disebabkan Defendan telah memperolehi satu lanjutan masa pada 18.10.2013, sebelum pihak-pihak menandatangani SPA masing-masing. [14] Menurut Plaintif-Plaintif, Defendan telah meminda tempoh penyerahan pemilikan kosong dan penyiapan kemudahan bersama dari 36 bulan ke 48 bulan di Klausa 25(1) dan di Klausa 27(1) SPA tanpa mengikuti tempoh asal yang telah ditetapkan di bawah Jadual H, Peraturan-Peraturan Pemaju Perumahan (Kawalan dan Pelesenan) 1989. [15] Milikan kosong telah diserahkan kepada Plaintif-Plaintif pada 16.05.2019 dan penyiapan kemudahan bersama disempurnakan pada 18.12.2019. [16] Selepas SPA tersebut ditandatangani oleh Plaintif-Plaintif, Defendan hanya meletakkan tarikh Perjanjian-perjanjian tersebut beberapa bulan kemudian. Tarikh-tarikh Perjanjian-perjanjian tersebut adalah seperti berikut: - Parsel-Parsel Tarikh Bayaran Deposit Tarikh Perjanjian Jual Beli Jumlah hari perbezaan Pertama 7.9.2013 16.12.2013 99 Ke-2 7.9.2013 10.4.2014 192 Ke-3 25.11.2013 10.4.2014 136 [17] Walaupun Notis Pemilikan Kosong tersebut telah menyatakan bahawa Perakuan Siap dan Permatuhan (Borang F) telah dilampirkan bersama tetapi hanya Perakuan Siap dan Permatuhan Sebahagian (Borang F1) bertarikh 2.5.2019 (Borang F1) sahaja yang dilampirkan dan diserahkan kepada Plaintif-Plaintif pada semua masa yang matang. Notis Pemilikan Kosong tersebut juga menyatakan bahawa milikan kosong Parsel-parsel tersebut akan dianggap serah (“deemed delivery”) kepada Plaintif-Plaintif selepas 14 hari dari tarikh Notis-notis Pemilikan Kosong tersebut. Hujahan Plaintif-Plaintif [18] Plaintif-Plaintif berhujah bahawa mereka terpaksa menandatangani Surat Penyelesaian kerana jika tidak, mereka tidak akan menerima bayaran LAD dan kunci unit. Surat tersebut disediakan oleh Defendan dan mengandungi terma yang mengecualikan hak untuk menuntut gantirugi tambahan. [19] Dalam apa jua keadaan, Plaintif-Plaintif menegaskan bahawa kontrak statutori tidak boleh diubah melalui perjanjian penyelesaian, dan penerimaan bayaran LAD tidak menghalang mereka daripada menuntut baki LAD terhadap Defendan walaupun Surat Penyelesaian tesebut telah ditandatangani. [20] Plaintif-Plaintif juga menyatakan bahawa tindakan melalui Writ Saman terhadap Defendan adalah lebih sesuai kerana Plaintif tidak mempunyai sesalinan Surat Lanjutan Masa tersebut sebelum memulakan apa-apa tindakan Mahkamah terhadap Defendan. Tanpa sesalinan Surat Lanjutan Masa tersebut, permohonan secara semakan kehakiman terhadap Defendan dan Pengawal tersebut atau Kementerian tersebut adalah mustahil. [21] Selain itu, hujahan Defendan bahawa tindakan Plaintif-Plaintif di luar had masa adalah tidak berasas kerana kausa tindakan bermula dari tarikh milikan kosong diterima berdasarkan klausa 25(3) SPA. Oleh itu, tindakan ini difailkan masih dalam tempoh enam tahun dan tidak dihalang oleh Seksyen 6 Akta Had Masa 1953. Hujahan Defendan [22] Defendan berhujah bahawa Plaintif-Plaintif mempunyai pilihan sama ada untuk memasuki SPA dan mereka menyedari kandungan Klausa 25 dan 27 yang menyatakan bahawa pengiraan LAD adalah dari tarikh SPA. Kedua-dua pihak maklum bahawa penyerahan milikan kosong dan penyiapan kemudahan bersama adalah dalam tempoh 48 bulan berdasarkan lanjutan masa yang dibenarkan. [23] Defendan menyatakan bahawa kausa tindakan untuk kontrak adalah bermula dari tarikh kemungkiran, iaitu dari tarikh SPA ditandatangani pada tahun 2013 dan 2014. Namun, tindakan hanya difailkan pada tahun 2020 dan 2021, menjadikan tuntutan Plaintif-Plaintif di luar tempoh masa. [24] Selain itu, Defendan berhujah bahawa Plaintif-Plaintif telah menandatangani surat penyelesaian penuh dan menerima bayaran LAD, yang menyatakan bahawa jumlah tersebut adalah penyelesaian penuh dan akhir serta mengecualikan hak untuk membuat tuntutan lanjut. Oleh itu, Plaintif-Plaintif telah mengenepikan hak mereka untuk menuntut gantirugi tambahan. [25] Defendan turut membantah pengiraan LAD oleh Plaintif-Plaintif yang bermula dari tarikh bayaran deposit, sedangkan Klausa 25 (1) SPA menyatakan bahawa LAD dikira dari tarikh perjanjian. Oleh itu, pengiraan tersebut adalah salah dan tidak sah, serta bercanggah dengan terma SPA yang dipersetujui. [26] Akhir sekali, Defendan berhujah bahawa penyerahan milikan kosong dan kemudahan bersama telah dilakukan secara sah, dan tuntutan Plaintif untuk gantirugi sehingga Borang F adalah tidak berasas kerana Blok J telah siap dan selamat untuk diduduki pada 02.05.2019, manakala kemudahan bersama telah disiapkan pada 18.12.2018. Keputusan HMS [27] Keputusan HMS adalah seperti berikut-Guaman 72 atau Rayuan 63 1) Satu deklarasi bahawa perlanjutan masa oleh Pengawal Perumahan dan/atau Kementerian Kesejahteraan Bandar, Perumahan dan Kerajaan Tempatan yang melanjutkan masa untuk menyerahkan pemilikan kosong Parsel Pertama tersebut (J-20-11) dan pemilikan kosong Parsel Kedua tersebut (J-27-01) kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Parsel Pertama tersebut (J-20- 11) dan Kemudahan Bersama Parsel Kedua tersebut (J-27-01) dari tempoh tiga puluh enam (36) bulan ke empat puluh lapan (48) bulan adalah ultra vires Akta Pemajuan Perumahan (Kawalan Dan Pelesenan) 1966 (“Akta 1966”), oleh itu, perlanjutan masa tersebut adalah tidak sah dan tidak mengikat Plaintif-Plaintif; 2) Satu deklarasi bahawa Defendan hendaklah menyerahkan pemilikan kosong Parsel Pertama tersebut (J-20-11) dan pemilikan kosong Parsel Kedua tersebut (J-27-01) kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Parsel Pertama tersebut (J-20- 11) dan Kemudahan Bersama Parsel Kedua tersebut (J-27-01) dalam tempoh tiga (36) bulan seperti yang diperuntukkan dan/atau dikehendaki di bawah Klausa 25(1) dan Klausa 27(1) Jadual H, Peraturan-Peraturan Pemajuan Perumahan (Kawalan Dan Pelesenan) 1989 (“Peraturan 1989”); 3) Baki Ganti Rugi Parsel Pertama tersebut (J-20-11) sebanyak RM 82,904.83; 4) Baki Ganti Rugi Kemudahan Bersama Parsel Pertama tersebut (J- 20-11) sebanyak RM 16,580.96; 5) Baki Ganti Rugi Parsel Kedua tersebut (J-27-01) sebanyak RM84,534.75; 6) Baki Ganti Rugi Kemudahan Bersama Parsel Kedua tersebut (J-27- 01) sebanyak RM16,906.95; 7) Faedah pada kadar 5% setahun untuk perintah 3, 4, 5 dan 6 di atas dikira daripada tarikh pemfailan writ sehingga tarikh penyelesaian penuh; 8) Satu deklarasi bahawa penyerahan pemilikan kosong Parsel Pertama (J-20-11) dan Kedua (J-27-01) dan Kemudahan Bersama adalah sah; 9) Kos sebanyak RM6,000.00 bagi Notis Permohonan Plaintif-Plaintif (Lampiran 30 dan 32) dibayar oleh Defendan kepada Plaintif-Plaintif; 10) Kos sebanyak RM9,000,00 bagi Notis Permohonan Plaintif-Plaintif (Lampiran 8, 28 dan 69) dibayar oleh Plaintif-Plaintif kepada Defendan; 11) Kos RM9,450.00 dibayar oleh Defendan kepada Plaintif-Plaintif bagi Tuntutan Plaintif-Plaintif; dan 12) Tuntutan Balas Defendan di perenggan 26 (b), (c), (d) dan (e) Tuntutan balas ditolak dengan kos RM3,825.00 dibayar oleh Defendan kepada Plaintif-Plaintif bagi Tuntutan Balas Defendan. Guaman 10 atau Rayuan 62 1) Satu deklarasi bahawa perlanjutan masa oleh Pengawal Perumahan dan/atau Kementerian Kesejahteraan Bandar, Perumahan dan Kerajaan Tempatan yangmelanjutkan masa untuk menyerahkan milikan kosong Parsel tersebut (J-29-17) kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Projek tersebut dari tempoh tiga puluh enam (36) bulan ke tempoh empat puluh lapan (48) bulan adalah ultra vires Akta 1966, oleh itu, perlanjutan masa tersebut adalah tidak sah dan tidak mengikat Plaintif-plaintif; 2) Satu deklarasi bahawa Defendan hendaklah menyerahkan milikan kosong Parsel tersebut (J-29-17) kepada Plaintif-Plaintif dan menyiapkan Kemudahan Bersama Projek tersebut dalam tempoh tiga

bulan seperti yang diperuntukkan dan/atau dikehendaki di bawah Klausa 25(1) dan Klausa 27(1) Jadual H, Peraturan 1989; 3) Baki Ganti Rugi Parsel tersebut(J-29-17) sebanyak RM 56,892.70; 4) Baki Ganti Rugi Kemudahan Bersama sebanyak RM11,378.54; 5) Faedah pada kadar 5% setahun ke atas jumlah-jumlah yang dibenarkan diperenggan (3) dan (4) dikira daripada tarikh pemfailan writ sehingga tarikhpenyelesaian penuh; 6) Satu deklarasi bahawa penyerahan pemilikan kosong Parsel (J-29- 17) dan Kemudahan Bersama adalah sah; 7) Kos RM 5,325.00 dibayar oleh Defendan kepada Plaintif-Plaintif bagi tuntutanPlaintif-Plaintif; dan 8) Tuntutan Balas Defendan di perenggan 26 (b), (c), (d) dan (e) Tuntutan balas ditolak dengan Kos RM3,825.00 dibayar oleh Defendan kepada Plaintif-Plaintif. ANALISIS DAN DAPATAN Perjanjian Penyelesaian [28] Mahkamah ini setelah meneliti hujahan pihak-pihak dan dokumen rayuan mendapati bahawa HMS tidak terkhilaf di sisi undang-undang dan/atau fakta-fakta apabila memutuskan untuk membenarkan LAD tambahan bagi parsel dan kemudahan bersama walaupun pihak-pihak telah menandatangani Perjanjian Penyelesaian. [29] Semasa perbicaraan penuh, SP1 dan SP2 telah memberi keterangan bahawa LAD yang telah dibayar oleh Defendan kepada Plaintif-Plaintif merupakan sebahagian daripada LAD dan bukan LAD sepenuhnya yang Plaintif-Plaintif layak dan berhak untuk menuntut daripada Defendan di sisi undang-undang. Keterangan SP1 dan SP2 yang relevan adalah seperti berikut-DC : What is your understanding on settlement? Your understanding. Just answer the question. SP1 : Settlement is a payment. Settlement is a, settle. DC : Settle mean fully paid, right? SP1 : Nono, I don’t agree. DC : Settlement is not fully paid, settlement is just a word. Settle. SP1 : Oh, so settle is not fully paid? DC : Ya. SP1 : It just sound the Defendant’s lawyer said fully paid, but I’m not agreed. DC : So what’s your understanding on settlement? It’s just settle? SP1 : Ya. Just settle. DC : So, in your understanding, it’s settled, when it is settled, meaning to say there is nothing something pending? Correct? Settle, simple terms. SP1 : Settle can be so many meanings. DC : Mr Tan, you in court today ya, you have given oath. SP1 : Settled Sum is fully settlement sum, some is part settlement sum. DC : Ok, I take you Mr Tan. So let’s look at your understanding, lets look at page 97 Mr Tan, you have made a distinction in full and final, full and part, I take your answer, right, so just look at page 97 Mr Tan, Puan Hakim, Bundle B, muka surat 97 Puan Hakim. Lets look at the second paragraph, provided however that upon your received of the aforesaid sum, you are unconditionally agree that it shall be full and final settlement. I’m not going to read further Mr Tan. Now, do you then agree that settlement in this case, here, that you have signed, means full and final settlement? SP1 : Disagree. DC : Disagree. Same question for the common facilities and the parcel for J-27 and common facilities for J-27, do you agree that the words full and final settlement has been paid for the LAD appears in this letter. SP1 : Disagree. PLF : So, you were also asked during the cross examination, settlement agreement ya, so what is settlement agreement based on your understanding, your answer was, settlement is payment, then you don’t agree on the fully paid, you said I’m not agree as fully paid, just settled. You remember? Now, you wan to explain to the Court why you answer in such a way? SP1 : Puan Hakim, because just now the settlement agreement that one because the law says ya, now the law change, in fact, we have extra claim from the Defendant, developer. That’s why I say its not full payment for me. That is the answer. PLF : Ok, so you were also asked, what about common facilities, you agree as full and final settlement appear n the letter, in the settlement letter, so your answer was disagree, now you wan to disagree why you answer disagree to the Court? SP1 : Because the, the statutory rights for me is the as a purchaser, owner, when we received this common facilities, vp, we have to use it but now because the date, the vacant possession is given after this common facilities, that’s why I cannot use it. That is my answer. DC : Now, Mr Chong, I will be very candid to you a, we have gone through the settlement letters, ok, and we have looked at the dates, correct? You are aware of the contents, you have looked at page 168, and I have taken you to the letter when you signed it on October also. Now, would you agree with me that the settlement letters which you have signed, at the second paragraph, in that context, in that letter alone, it states that it is full and final settlement, full and final payment. SP2 : Not agree. DC : Just on that letter, based on the face of the documents. SP2 : Not agree. DC : You disagree. So, your evidence is that the payment given to you when you have signed it at July and October respectively are not full and final settlement, correct? SP2 : Yes. DC : Ok, so Mr Chong, I put it to you that the payment for LAD which you have signed in July and October respectively for the unit parcel and common facilities are full and final payment for the LAD. SP2 : Can you repeat? DC : I put it to you, that the settlement letter that you have signed in July and October respectively for the unit parcel and common facilities are full and final settlement or any claim of LAD. SP2 : Not full and final. DC : Not full and final. Ok. So, ok, lets see. So in Court now you are saying that there is an extra claim correct? SP2 : Yes. PLF : Then a few more question on the settlement about settlement agreement that you have signed, nobody force you, sorry, settlement agreement was signed, its full and final settlement, agree? You disagree. You disagree. And then continue to ask you payment given to you, it’s full and final settlement, you are saying despite the payment give to you its not a full and final settlement, you said yes, so this were the question ya. Ok, then again my learned friend asked you, payment for LAD in July and October are full and final payment for LAD, your answer was not full and final, so this 3 questions asked and then your answer not agree, not full and final, do you wan to explain in such a way? SP2 : Ok, the first one is that the calculations are wrong because there are based on 48 months, so now we are based on 36 months, we are claiming for our rights and the other one is CCC that calculate is wrong also because they calculate from the CCC F1. So which is invalid, stated in the SPA, when vp given, there must be a CCC sepenuhnya, CCC, not the CCC F1 sebahagian. So all their calculation is wrong. PLF : So to recap what you said, you said it’s wrong, you not agreed it’s full and final settlement because got 2 issues only, 1 is 36 months not 48 months, the other one is the CCC shouldn’t be F1, should be based on the full CCC. SP2 : One more is the SPA date is wrong. The calculation on SPA date. PLF : Ok, it’s that all? SP2 : Ya. [30] Dalam hal ini, pihak Plaintif merujuk kes Oxbridge Height Sdn Bhd v. Azizan Mohammad Ali & Anor [2014] 7 CLJ 135; [2014] 2 MLRH 57, di mana Mahkamah Tinggi memutuskan bahawa perjanjian penyelesaian yang tidak mematuhi Peraturan 11(1) adalah terbatal, tidak sah dan dengan itu tidak boleh dikuatkuasakan. Mahkamah telah memutuskan - “(1) … There is no provision in the Housing Development (Control and Licensing) Act 1966 (‘HDA’) or HDR for any supplemental agreement to waive or modify the SPA. (para 4)

HDA is a specific legislation enacted by the Legislature to protect the rights and interests of housebuyers in their dealings with developers. It must therefore take precedence over s. 10 of the CA. As the SA did not comply with reg. 11(1) of the HDR, it was null and void and was thus, unenforceable. Both parties were bound by the terms of the SPA without any modification or waiver as recognised under the law. To permit the SA to take effect over the statutory SPA would be to allow the parties to contract out of statute which would render it unlawful and invalid. The right of the respondents to claim for LAD under the SPA, therefore, remained intact and was not taken away by the SA.”. [31] Selain itu, dalam kes Hedgeford Sdn Bhd v. Sri Gananatha Sivanathan & Ors [2018] 1 LNS 1497; [2018] MLRHU 1151; [2018] MLJU 1424, Mahkamah telah memutuskan bahawa kecuali terdapat bukti yang meyakinkan untuk menunjukkan, atas keseimbangan kebarangkalian, bahawa dengan menandatangani perjanjian penyelesaian yang disediakan oleh pemaju, pembeli adalah berniat untuk mengecualikan atau melepaskan baki LAD- “[129] Again, at the risk of repetition, I must emphasise once again that we are here dealing with a statutory contract and the terms and conditions of the SPA are regulated and imposed by law. Hence, in order to extinguish a claim by purchasers for their statutory entitlement to be paid LAD in full, there has to be exceptionally compelling and convincing evidence to demonstrate, on a balance of probabilities, that by signing on whatever document that was prepared by the developer and in cashing the cheques that were given by the developer, the purchasers had intentionally agreed to forego their statutory entitlement to LAD under clause 27 of the SPAs. [130] In the present case, there is no evidence that any one of the defendants (D2 to D24) had intentionally agreed to forgo their entitlement under clause 27 of the SPAs. … [132] And in so far as the amounts which the plaintiff says the purchasers had (purportedly) "waived", in the specific context of the statutory contract under Schedule H to the Housing Development (Control and Licensing) Regulations 1989(whose objective is to protect home buyers), the position is quite strict and I would say, rightly so. Hence, despite the acceptance of the LAD settlement letters and the cover letter and banking in of the cashier's orders, the court must be convinced that the purchasers (D2 to D24) had truly made an informed decision to forego or give up their entitlement to LAD under clause 27 of the SPA.”. [32] Begitu juga dalam kes EUPE Bangsar South Development (JV) Sdn Bhd v. Lam Sai Yih [2023] 1 CLJ 194; [2022] MLRHU 2344; [2023] 9 MLJ 392, telah memutuskan bahawa tiada pengetepian hak untuk menuntut LAD jika tiada niat kukuh dan jelas dari pembeli perumahan untuk mengetepikan- “[50] It is to be noted that quite apart from clear principle as observed by the Federal Court in Muniandy Thamba Kaundan & Anor v. Development & Commercial Bank Bhd & Anor [1996] 2 CLJ 586; [1996] 1 MLJ 374 that there can be no waiver in the absence of an intention to waive, of equal and crucial importance is the absence of any documentary evidence to the effect that the said payment of RM7,417.64 is to be treated as a waiver to the respondent's right to claim for total LAD compensation. … [53] In the absence of any evidence to suggest that by the respondent’s acceptance of the RM7,417.64, the respondent had intentionally foregone his full entitlement to the total LAD compensation for the delay in the delivery of vacant possession of the unit, there is absolutely no legitimate basis for the court to find the presence of any compromise reached between the appellant and respondent to have any legal consequence to the effect that the respondent’s acceptance of the RM7,417.64 should constitute a waiver of the total claim for LAD as compensation for the late delivery of the said unit.”. [33] Dalam kes MRCB Seputeh Land Sdn Bhd v. Tribunal Tuntutan Pembeli Rumah Putrajaya & 1 lain [Mahkamah Tinggi Kuala Lumpur Semakan Kehakiman No. WA-25-503-11/2019 (unreported)], Mahkamah merujuk kepada keputusan Mahkamah Rayuan dalam kes Sentul Raya Sdn Bhd v. Hariram Jayaram & Ors And Other Appeals [2008] 4 CLJ 618; [2008] 1 MLRA 473; [2008] 4 MLJ 852 dan memutuskan bahawa perjanjian penyelesaian yang menghalang pembeli daripada menuntut haknya di bawah kontrak Jadual H adalah tidak bermerit dan tidak terpakai dan tiada isu-isu seperti double enrichment atau pembeli memperkayakan diri atau doktrin estoppel- “Bagi isu bayaran RM60,363.90 sebagai penyelesaian muktamad, kita sedia maklum kes Sentul Raya, Mahkamah Rayuan telah memutuskan pihak-pihak kepada satu kontrak di bawah Jadual H, Peraturan tidak boleh keluar dari bentuk yang sudah ditetapkan. Jadi terma-terma yang lebih membebankan pembeli tidak boleh diperuntukkan. Begitu juga dengan terma-terma yang mengenakan obligasi tambahan ke atas pembeli, tidak boleh dimasukkan di dalam kontrak satu berkenaan. Maka itu perjanjian penyelesaian yang dikatakan oleh Pemohon telah menghalang R2, estoppel la maksud saya, daripada menuntut haknya di bawah kontrak

Jadual H adalah tidak bermerit dan tidak terpakai. Tiada isu untuk double enrichment kepada R2. Tiada isu untuk mengayakan diri R2 dalam kes ini.”. [34] Tambahan pula, dalam kes Leong Keng Chiang v. Prema Bonanza Sdn Bhd [2021] 1 LNS 659; [2021] MLRHU 494; [2021] MLJU 714; Mahkamah memutuskan bahawa – "[57] My view is that any purported settlement, which has the effect of diminishing or taking away the statutory rights of a house buyer, is of no legal effect. A housing developer cannot rely on such waiver or estoppel to preclude a house buyer from asserting the full extent of his rights as provided for under the HAD and the HDR. There is no estoppel against statute.” [35] Merujuk kepada kes-kes Sentul Raya Sdn Bhd (supra), Southville City Sdn Bhd (supra), Oxbridge Height Sdn Bhd (supra), Hedgeford Sdn Bhd (supra), UPE Bangsar South Development (JV) Sdn Bhd (supra), MRCB Seputeh Land Sdn Bhd (supra)dan Leong Keng Chiang (supra) yang dihujahkan oleh Plaintif-Plaintif, Mahkamah ini bersetuju dan berpandangan adalah undang-undang yang mantap bahawa perjanjian penyelesaian merupakan satu perjanjian untuk kontrak di luar (“contract out”) daripada kontrak statutori di bawah Peraturan 1989 dan ia adalah tidak mengikat Plaintif-Plaintif daripada menuntut haknya. Tambahan pula, berdasarkan keterangan-keterangan SP1 dan SP2, ia adalah jelas bahawa mereka tidak berniat untuk mengecualikan hak-hak mereka untuk menuntut baki LAD yang berhak diterima oleh mereka di bawah undang-undang. [36] Oleh itu, HMS tidak terkhilaf apabila menerima pakai alasan penghakiman dalam kes Leong Keng Ching (supra) dan memutuskan bahawa perjanjian penyelesaian tidak akan mengestopkan hak Responden-Responden untuk menuntut baki LAD yang belum diterima. Alasan penghakiman yang releven adalah seperti berikut- [35] Berkaitan dengan isu-isu di atas, Defendan berhujah bahawa Plaintif-Plaintif telah menandatangani suatu surat penyelesaian dan telah bersetuju jumlah yang dibayar oleh Defendan adalah penyelesaian penuh dan akhir dan telah juga mengecualikan hak-hak mereka untuk memfailkan sebarang tindakan terhadap Defendan bagi menuntut LAD daripada Defendan. [36] Dalam isu ini, Mahkamah merujuk kepada kes Leong Keng Chiang (di atas) di mana Pesuruhjaya Kehakiman Quay Chew Soon telah memutuskan bahawa surat penyelesaian tidak akan mengestopkan hak plaintif untuk menuntut baki LAD yang belum diterima oleh pembeli perumahan. Alasan penghakiman yang relevan adalah seperti yang berikut: [37] Selanjutnya dalam kes Loh Tina & Ors v. Kemuning Setia Sdn Bhd & Ors and Another Appeal [2020] 7 CLJ 720; [2020] 6 MLJ 191, Mahkamah Rayuan telah memutuskan bahawa doktrin estoppel tidak terpakai dalam kontrak statutori yang memutuskan- “[85] The purchasers' right to claim liquidated damages for late delivery is their right as preserved and protected in the provision in cl. 24 of the SPA in Schedule G. [86] That right cannot be taken away from them. In fact any change or modification to that right is ineffective, null and void without the certificate from the Controller agreeing to the modification of the period to deliver practical completion. [87] Having exercised the right to claim for liquidated damages for late delivery, they cannot be said to be estopped from pursuing their other rights under the SPA in a case where that right had been unlawfully taken away from them in breach of the HDA and the Regulations. [88] In any event estoppel does not operate against a statute or statutory form of contract. See the Federal Court case of Tenaga Nasional Bhd v. Ichi-Ban Plastic (M) Sdn Bhd & Other Appeals [2018] 3 CLJ 557; [2018] 3 MLRA 1 at paras. [103] and [105].”. [38] Setelah meneliti hujahan pihak-pihak, Mahkamah ini berpandangan bahawa bayaran LAD yang telah diterima oleh Plaintif-Plaintif merupakan hanya sebahagian bayaran LAD dan bukan pembayaran penuh kerana LAD yang telah diberi kepada Plaintif-Plaintif adalah sepatutnya berdasarkan- (i) Tarikh permulaan LAD dikira daripada tarikh bayaran wang pendahuluan dan bukan dari tarikh Perjanjian tersebut (Kes Mahkamah Persekutuan: PJD Regency Sdn Bhd v. Tribunal Tuntutan Pembeli Rumah & Anor and Other Appeals [2021] 2 CLJ 441; [2021] 1 MLRA 506; [2021] 2 MLJ 60); dan (ii) Tarikh kiraan akhir LAD adalah sehingga Borang F dikeluarkan, iaitu sehingga 13.9.2019 (klausa 26 dan klausa 35(c) SPA). [39] Klausa 26 dan klausa 35(c) SPA memperuntukan- 26 Manner of delivery of vacant possession (1) The Vendor shall let the Purchaser into possession of the said Parcel upon the following: (a) the issuance of a certificate of completion and compliance certifying that the said Building has been duly constructed and completed in conformity with the approved plans and the requirements of the Street, Drainage and Building Act 1974 and any by-laws made thereunder; (b) water and electricity supply are ready for connection to the said Parcel; (c) the Purchaser having paid all monies payable under subclause 4(1) in accordance with the Third Schedule and all other monies due under this Agreement and the Purchaser having performed and observed all the terms and covenants on his part under this Agreement. (2) The delivery of vacant possession by the Vendor shall be supported by a certificate of completion and compliance and includes the handing over of the keys of the Parcel to the Purchaser. 35. Interpretation (c) Certificate of completion and compliance means the certificate of completion and compliance given or granted under the Street, Drainage and Building Act 1974 and any by-laws made under that Act certifying that the housing accommodation has been completed and is safe and fit for occupation but does not include partial certificate of completion and compliance. [40] SD2, iaitu arkitek untuk Projek tersebut telah memberikan keterangan mengenai cara penyerahan milikan kosong semasa pemeriksaan balas dan keterangan yang relevan adalah seperti berikut-PLF : So for this particular project, what is the pre-condition before the developer can deliver vp to purchaser? SD2 : The VP I think is the developer jurisdiction or obligation. We are not the person whom actually determining the how the manner of delivering of VP. PLF : So would you agree with me that the manner of delivery of VP will be based on the sale and purchase agreement? Between the developer and the purchaser. SD2 : From my general knowledge, yes. PLF : So for the HDA, residential is quite straightforward, they are all in the statutory form. HDA. SD2 : Correct. PLF : So now we, let’s look at this project. We are not looking at general anymore, we are now looking at this project. Do you have the general knowledge that based on the HDA, whether the developer can deliver based on CPC, or CCC or Borang F1. SD2 : From my reading, it’s CCC. Whether it’s partial or full then, they only mentioned certificate of completion and compliance. PLF : Then the Borang F, at page 125, sorry 124, 124 to 125. F issued on the 12.9.2019. SD2 : Correct. PLF : Can you please explain to us, from F1, for this block J and H, to Borang F, it’s only about 4 months? I would say. SD2 : Correct. PLF : So what was actually pending for the 4 months? SD2 : The last phase for this project is actually the Hotel Block. So once it is completed and compliance with all the local authority requirement and approved plan then we will issue the Borang F for the overall. PLF : So what was pending from the F1 for the residential and the Borang F was some authority compliance, is it? SD2 : Correct. PLF : But the construction has been completed. SD2 : External of the building completed at that time. But internally the bomba compliance was still outstanding. PLF : So it was only 4 months pending Bomba is it? SD2 : Mainly is Bomba. [41] Mahkamah ini bersetuju dengan hujahan Plaintif yang merujuk kes Chau Chee Sing & Ors v. R & F Development Sdn Bhd [2021] 1 LNS 1799; [2021] MLJU 2045; [2021] MLRHU 1571 di mana Mahkamah telah memutuskan bahawa Borang F1 adalah bertentangan terma-terma perjanjian jual beli- “Whether the Partial CCC was in conflict with the terms of the SPAs [34] Since it was undisputed that the preamble to the SPAs stipulated that vacant possession should include all seven blocks together with the common facilities, the Partial CCC which had rendered delivery of Blocks A1, A2 and A7 for Phase 1A only was in conflict with the terms of the SPAs. [35] The Defendant, in its contention, had reiterated that Phase 1 was completed eventually, and therefore, the Plaintiffs suffered no prejudice. In my view, the issue in this Application was not whether Phase 1 was completed, as that was not disputed, but rather when was the actual completion of Phase 1. [36] Since the full CCC was obtained only on 8 November 2018, this meant that Phase 1 was completed only on that date. As a result thereof, a number of the Plaintiffs, who received their units based on the Partial CCC which in my view was in breach of the SPAs, should have been entitled to LAD arising from late delivery of their units. …..”. Kiraan bayaran LAD Rayuan 63 LAD untuk J-20-11 LAD untuk Parsel: 10% x RM831,326.00 x 737 hari /365 hari = RM167,859.52 LAD untuk kemudahan bersama: 10% x 20% x RM831,326.00 x 737 hari /365 hari = RM33,571.90 LAD untuk J-27-01 LAD untuk Parsel: 10% x RM831,326.00 x 737 hari /365 hari = RM167,859.52 LAD untuk kemudahan bersama: 10% x 20% x RM831,326.00 x 737 hari /365 hari = RM33,571.90 [42] Bayaran telah dibuat oleh Defendan kepada Plaintif-Plaintif untuk J-20-11 sebelum ini adalah RM117,752.20 untuk parsel dan RM16,763.18 untuk kemudahan bersama. Selepas mengambil kira bayaran LAD sebagian, baki LAD yang harus dibayar oleh Defendan adalah seperti berikut-Baki LAD untuk J-20-11 LAD untuk Parsel: RM167,859.52 - RM117,752.20 = RM50,107.32 LAD untuk kemudahan bersama: RM33,571.90 - RM16,763.18 = RM16,808.72 [43] Bayaran telah dibuat oleh Defendan kepada Plaintif-Plaintif untuk J-27-01 sebelum ini adalah RM93,359.82 untuk Parsel dan RM11,751.26 untuk kemudahan bersama. Selepas mengambil kira bayaran LAD sebagian, baki LAD yang harus dibayar oleh Defendan adalah seperti berikut-Baki LAD untuk J-27-01 LAD untuk Parsel: RM167,859.52 - RM93,359.82 = RM74,499.70 LAD untuk kemudahan bersama: RM33,571.90 - RM11,751.26 = RM21,820.64 Kiraan bayaran LAD Rayuan 62 [44] LAD untuk J-29-17, tarikh bayaran wang pendahuluan pada 25.11.2013, 48 bulan untuk Perayu menyerahkan milikan kosong tamat pada 24.11.2017. Kelewatan berjumlah 658 hari dari 25.11.2017 sehingga tarikh pengeluaran Borang F pada 13.9.2019. LAD untuk J-29-17 LAD untuk Parsel: 10% x RM570,490.00 x 658 hari /365 hari = RM102,844.50 LAD untuk kemudahan bersama: 10% x 20% x RM570,490.00 x 658 hari /365 hari = RM20,568.90 [45] Bayaran telah dibuat oleh Defendan kepada Plaintif-Plaintif untuk J-29-17 sebelum ini adalah RM62,832.05 untuk Parsel dan RM7,908.70 untuk kemudahan bersama. Selepas mengambil kira bayaran LAD sebagian, baki LAD yang harus dibayar oleh Perayu adalah seperti berikut. Baki LAD untuk J-29-17 LAD untuk Parsel: RM102,844.50 - RM62,832.05 = RM40,012.45 LAD untuk kemudahan bersama: RM20,568.90 - RM7,908.70 = RM12,660.20 Had Masa Tuntutan [46] Defendan menyatakan bahawa tuntutan adalah di luar had masa kerana kausa tindakan untuk kontrak adalah bermula dari tarikh kemungkiran, iaitu dari tarikh SPA ditandatangani pada tahun 2013 dan 2014. Namun, tindakan hanya difailkan pada tahun 2020 dan 2021, menjadikan tuntutan Plaintif-Plaintif di luar tempoh masa. Manakala Plaintif-Plaintif berhujah bahawa penyataan Defendan bahawa tuntutan Plaintif-Plaintif adalah di luar had masa sebagai tidak berasas. [47] Mahkamah ini berpandangan bahawa Plaintif-Plaintif tidak dihalang oleh had masa kerana kausa tindakan bermula dari tarikh milikan kosong diterima berdasarkan klausa 25(3) SPA. Oleh itu, tindakan ini difailkan dalam tempoh enam tahun dan tidak dihalang oleh seksyen 6 Akta Had Masa 1953. KESIMPULAN [48] Berdasarkan alasan-alasan di atas, Mahkamah memutuskan bahawa rayuan Perayu ditolak dengan kos dan rayuan balas Responden-responden dibenarkan dengan kos.
