Jadual Semasa 20.74 iii) Kemajuan Sebenar 17.90 iv) Varian - 2.84 v) Bil. Hari Cepat/Lewat 29 hari lewat 28. Peguam Plaintif menghujahkan bahawa keterangan SP1 iaitu pengawal peguasa projek (SO) termasuk SD1, SD2 dan SD3 serta disokong oleh minit mesyuarat nombor 7 hingga 32 serta minit mesyuarat teknikal nombor 29 hingga nombor 33 meyokong keterangan Plaintif bahawa peratusan keterangan asal telah berjaya dikurangkan oleh Plaintif. 29. Peguam Defendan sebaliknya menghujahkan bahawa perkara ini tidak berlaku, sebaliknya Plaintif yang sebenarnya melakukan kelewatan dalam melaksanakan projek tersebut. Ini dapat dilihat melalui beberapa notis dan keterangan yang dikemukakan seperti berikut: a) Notis bertarikh 3/3/2021 dan disokong oleh keterangan SD1 di PSSD1. Menurut peguam Defendan perkembangan projek semasa mesyuarat teknikal hanyalah sekadar 19.23% berbanding sepatutnya 22.52% yang menyebabkan kelewatan sebanyak 3.29%. Notis tersebut turut mencatitkan kelewatan kerja-kerja tanah (earthworks) selama 55 hari. Selain itu, notis tersebut turut menyatakan berkaitan kegagalan Plaintif untuk menyediakan “Recovery Plan” sepertimana yang diarahkan oleh Defendan; b) Notis bertarikh 14/3/2021 yang dikemukakan berdasarkan satu mesyuarat yang telah dijalankan oleh pihak Defendan dengan JKR di mana telah dilaporkan peratus kelewatan yang sama sepertimana Notis bertarikh 3/3/2021. Melalui notis ini, Plaintif telah diminta utk mengemukakan Recovery Plan dan Financial Projection; c) Surat Peringatan bertarikh 18/3/2021 telah dikeluarkan oleh pihak Defendan apabila mendapati notis-notis duluan tidak diambil tindakan sewajarnya oleh Plaintif. Surat ini merujuk kepada laporan kemajuan fizikal No. 29 dan mesyuarat tapak No. 33 yang merekodkan peningkatan kelewatan sebanyak 1.83% bersamaan 17 hari kelewatan. Selain itu, tiada kerja-kerja tanah dan perparitan dijalankan oleh Plaintif tetapi sebaliknya oleh Aruss Synergy. Plaintif turut didakwa gagal untuk menyelesaikan isu berkaitan scaffolding; dan d) Notis bertarikh 25/3/2021 diisukan oleh Defendan apabila Plaintif dikatakan masih gagal untuk memenuhi arahan-arahan Defendan sebelum ini. Melalui Notis ini, Defendan merekodkan kegagalan Plaintif untuk meningkatkan kerja-kerja yang diperlukan. Ia dengan kata yang lain menegaskan Notis yang telah dikeluarkan pada 14/3/2021. 30. Berdasarkan notis-notis ini, peguam Defendan menghujahkan bahawa, Defendan telah mengambil segala tindakan untuk memperbetulkan sebarang kelewatan duluan dalam perlaksanaan projek tersebut. Oleh itu, Plaintif tidak boleh meletakkan kelewatan Plaintif melaksanakan projek tersebut kepada kelewatan yang sedia ada sebelum Plaintif mengambil alih projek tersebut. 31. Peguam Defendan menegaskan apabila Plaintif masih berterusan gagal mematuhi notis-notis yang telah dikeluarkan, maka ia telah meyebabkan kelewatan. Klausa 16 perjanjian memperuntukkan masa sebagai essence ke atas perjanjian tersebut, maka tindakan menamatkan perjanjian tersebut adalah suatu yang prudent untuk dilaksanakan. 32. Sehubungan dengan itu, berdasarkan kepada klausa 17 perjanjian, maka peguam Defendan menghujahkan bahawa pihak Defendan berhak untuk menamatkan perjanjian tersebut. Perhatian mahkamah telah dibawa kepada keputusan Mahkamah Persekutuan dalam kes Berjaya Times Square Sdn hd v M-Concept Sdn Bhd [2010] 1 MLJ 597 di mana Mahkamah Persekutuan memutuskan seperti berikut: “[18] What has to be added to the learned Lord Chancellor's view is the qualification: ... that failure of consideration does not depend upon the question whether the promisee has or has not received anything under the contract... but rather whether the promisor has performed any part of the contractual duties in respect of which the payment is due." (Stocznia Gdanska SA v. Latvian Shipping Co [1998] 1 All ER 883, per Lord Goff of Chieveley) In other words, when deciding whether there is in a given case total failure of consideration, the court must first interpret the promise as a whole and next view the performance of the promise from the point of view of the party in default. The test is not whether the innocent party received anything under the contract. The test is whether the party in default has failed to perform his promise in its entirety. The facts of Stocznia Gdanska illustrate the proposition.” 33. Mahkamah telah menimbang setiap notis yang telah dikemukakan oleh pihak Defendan dan berpandangan bahawa dalam apa jua keadaan keterangan-keterangan menunjukkan bahawa selepas projek tersebut diambil oleh Plaintif, kadar kelewatan telah pun berkurangan. Ini dapat dilihat sepertimana yang dinyatakan di perenggan 26 dan 27 di atas. 34. Dalam masa yang sama, tiada sebarang bukti daripada pihak JKR sebagai pemilik projek yang mengesahkan bahawa selepas Plaintif mengambil alih projek tersebut, perkembangan menjadi bertambah lewat. Tiada sebarang sijil perakuan kelewatan telah dikeluarkan kepada Plaintif atau pun Defendan selaku kontraktor utama atas dakwaan kelewatan Plaintif menjalankan kerja-kerja dalam tempoh tersebut oleh pihak JKR. 35. Sebaliknya, mahkamah mendapati semua alasan-alasan berlakunya kelewatan projek tersebut digunakan oleh Defendan untuk mendapat lanjutan masa daripada JKR dan permohonan lanjutan masa telah pun diberikan oleh JKR. 36. Mahkamah selanjutnya berpandangan bahawa jika sekalipun wujud sebarang kelewatan yang merupakan kemungkiran oleh Plaintif, maka pihak Defendan sewajarnya mengambil langkah-langkah yang diperuntukkan dalam perjanjian tersebut terlebih dahulu. Ini kerana klausa 4.4 dan 4.5, memperuntukkan langkah-langkah yang perlu diambil jika berlaku kelewatan projek tersebut sebelum penamatan perjanjian tersebut boleh dibuat. 37. Klausa 4.4 dan 4.5 menyatakan seperti berikut: “4.4 In the event that JSB delays or fails to complete the Sub-Contract works and variation order (if any) within stipulated sub-contract period, the Main Contractor may engage a third party to carry out the works and the costs incurred plus a management fees of 15% of the costs incurred shall be imposed on JSB and such costs including the said management fees shall be paid by JSB to the Main Contractor vide deduction from any money due or to become due to JSB, failing which the said cost and the management fees shall be recovered from the Performance Bond or Retention Fund or as debt due by JSB to the Main Contractor. 4.5 If in the opinion of Government, (1) any part of the Works shall fall behind the Approved Work Programme or the Approved Revised Work Programme (as applicable) during a period twelve (12) months before the Date for Practical Completion (such period), or (2) any of the Works shall fall behind the Approved Work Programme or Approved Revised Work Programme (as applicable) by fifteen (15) days outside such period, the Government and/or the Main Contractor may at its sole discretion, and without prejudice to any other rights or remedies available to the Government and/or the Main Contractor under the Contract or at law, take all necessary actions or measures to carry out or expediate as necessary or complete the Works including but not limited to: i) Procure additional labour, equipment, resources or any other measures as the Government in its sole discretion deem necessary or required (including but not limited to increasing or deployment of manpower, equipment, additional formwork); ii) Make use of any Plant, Materials and/or the Equipment brought onto the Site by the JSB or its personnel, servants, agents, employees, Sub-Contractors or Suppliers appointed by JSB; iii) The Government or Main Contractor may itself or employ any other party to carry out such Works at the risks, costs and liability of the JSB, and/or iv) Utilise any Sub-Contractor or Supplier appointed by the JSB or appoint new Sub-Contractors or Suppliers, where if such an event occurs JSB shall give its fullest cooperation to ensure that the newly appointed Sub-Contractors and Suppliers comply with the instructions of the Government or Main Contractor arising from and in relation to the actions or measures taken by the Government or Main Contractor under this Clause 4.5(i), 4.5(ii) and/or 4.5(iii).” 38. Mahkamah Persekutuan dalam kes SPM Membrane Switch (supra) telah menegaskan keperluan pihak-pihak untuk mematuhi syarat-syarat perjanjian sebelum ianya ditamatkan telah dengan jelas menyatakan seperti berikut: “[20] Nonetheless, we do recognise that there are certain circumstances in which, as a matter of construction of contract, the recipient of the aforementioned notice is entitled to have the reasons for termination communicated to it by the terminating/non-defaulting party where the contract provides for a "grace period" in which the defaulting party is entitled to remedy its allegedly defective performance to the satisfaction of the non-defaulting party. This is clearly because a party that is afforded the opportunity to remedy deficiencies in performance cannot do so unless it has notice of the deficiencies, either actual or constructive. This stands to reason. [21] This proposition holds not as a general proposition in the law of contract, but upon construction where the parties expressly or impliedly agree to it in the contract.” 39. Bagi mahkamah, Plaintif telah gagal menunjukkan keterangan bahawa pihak JKR sebagai pemilik projek telah menyatakan bahawa telah wujud kelewatan. Di sebalik ketiadaan keterangan ini, Defendan terus menggunapakai klausa 17 perjanjian untuk menamatkan perjanjian sedangkan langkah-langkah di klausa 4.4 dan 4.5 masih belum diambil apa-apa tindakan. 40. Mahkamah berpandangan, dalam menafsirkan klausa 17 perjanjian secara khususnya ke atas ayat “without prejudice to any other rights or remedies which the main contractor may possess”, tidak bermaksud bahawa Defendan boleh sewenang-wenangnya menamatkan perjanjian dengan Plaintif. 41. Sebaliknya mahkamah berpandangan bahawa adalah perlu untuk dinilai apakah yang telah menyebabkan berlakunya pelanggaran kontrak tersebut dan apakah tindakan-tindakan yang sewajarnya telah diambil. 42. Pentafsiran sesuatu perjanjian seharusnya dilihat dengan lebih luas dan bukan hanya tertumpu kepada klausa 17 sahaja. Dalam masa yang sama ia juga perlu memberi keadilan kepada pihak Plaintif yang masih mempunyai hak-hak yang perlu dilunaskan oleh Defendan sebelum perjanjian ini boleh dibatalkan oleh Defendan. 43. Dalam kes Catajaya Sdn Bhd (supra), Mahkamah Persekutuan turut menegaskan seperti berikut: “[65] In interpreting a clause in an agreement, it is pertinent to take into consideration the context of the agreement as a whole, to examine the relevant clauses in detail and to consider the relevant factual matrix to give guidance as to the true intent of the parties.” 44. Tujuan klausa 4.4 dan 4.5 perjanjian tersebut bagi pandangan mahkamah adalah ke arah melindungi kedudukan Plaintif terhadap penamatan sengaja dan juga memberikan peluang kepada Plaintif untuk membetulkan situasi yang menjadi isu kepada Defendan. Ia tidak membenarkan Defendan untuk memintas tujuan klausa 4.4 dan 4.5 dengan membangkitkan penamatan sebelah pihak. 45. Perkara ini turut disentuh oleh Mahkamah Persekutuan dalam kes SPM Membrane Switch (supra) seperti berikut: “Under cl. 9, the review procedure gives the opportunity for the respondent to review the appellant's performance, but this is by no means unilateral as a matter of procedure. The terms of cl. 9 make this clear. Clause 9.1 for instance, oblige the parties to agree upon the terms and conditions of the review prior to any review occurring. This is clearly meant to protect the interests of both parties, that is to say the interest of the respondent in ensuring that the unsatisfactory situation is remedied (whether by the appellant, or where there is discharge or termination, by its substitute), and the interest of the appellant in avoiding breach and termination of the contract. Arguably the purpose of this clause leans in favour of protecting the position of the appellant against wilful termination for one, and to provide an added layer of protection in that it is given the opportunity to "remedy the unsatisfactory situation" in 30 days. It cannot be the case that the respondent is allowed to circumvent the purpose of cl. by invoking unilateral termination under cl. 8.1 (b) when cl. 9.3 itself refers to 8.1(b) as a means of protecting the respondent's interests.” 46. Apatah lagi dalam kes ini, perjanjian turut memperuntukkan hak Defendan untuk mengenakan ganti rugi jumlah tertentu (LAD) sebagaimana klausa 7 jika ada apa-apa kelewatan yang disebabkan oleh Plaintif. Oleh itu, tindakan penamatan perjanjian yang diambil oleh Defendan merupakan satu tindakan drastik yang menyalahi prinsip undang-undang yang ada. Apatah lagi jelas dari keterangan-keterangan yang dikemukakan, Plaintif telah berjaya mengurangkan kelewatan projek tersebut. 47. Selain itu, mahkamah turut mendapati bahawa notis penamatan tersebut dikeluarkan semasa Plaintif sedang dalam usaha mempertingkatkan kelancaran kemajuan pembinaan dan tidak pernah dibuktikan bahawa Plaintif mengurangkan usaha-usaha tersebut. Ia sama sekali bukan situasi Plaintif meninggalkan tapak pembinaan dan tidak meneruskan dengan kerja-kerja di tapak pembinaan. 48. Mahkamah turut merujuk kepada klausa 51.1(a) yang mensyaratkan Defendan memberi notis empat belas (14) hari dengan menyatakan secara spesifik kegagalan Plaintif dan selepas notis empat belas (14) hari tersebut, jika Plaintif masih gagal mematuhi, barulah perjanjian boleh ditamatkan mengikut klausa 51.1(b). Mahkamah mendapati, dalam notis yang dikemukakan, ia tidak dinyatakan secara spesifik apakah kemungkiran seperti mana diperuntukkan di klausa 51.1(a)(iii) dan juga tidak memberi tempoh masa empat belas (14) hari seperti disyaratkan dalam klausa 51.1(a)(iii). 49. Mahkamah Persekutuan dalam kes Catajaya Sdn Bhd (supra) telah menegaskan: “[63] Reading the terms of the SSA in its entirety, we find that there is no latent ambiguity; the obligations of the parties are specifically defined. Termination is not permitted unless as expressly stipulated under SSA. Notice must be given to the appellant to rectify the identified breach and take steps to rectify that breach within the prescribed time as agreed. There must be strict adherence to the clauses in an agreement which relates to termination. [64] Termination of an agreement results in the end of the parties obligations. Reading the provisions of ss. 11 and 12 of the SSA, the party in breach must be notified of the identified reason for termination as well as be given the opportunity to rectify the breach.” 50. Selain itu, mahkamah turut menimbangkan isu pembayaran back to back yang menjadi isu dalam kes ini. Perjanjian back to back adalah perjanjian di mana kontraktor utama iaitu Defendan dalam kes ini memindahkan semua atau sebahagian tanggungjawabnya di bawah kontrak utama kepada subkontraktor iaitu Defendan. Ia dijalankan dengan menyertakan terma-terma perjanjian utama ke dalam subkontrak bagi memastikan keselarasan perlaksanaan tanggungjawab kontraktor utama. Ini bermaksud subkontraktor terikat dengan syarat-syarat yang sama yang dikenakan ke atas kontraktor utama, termasuk tanggungjawab kualiti, masa, keselamatan, dan pembayaran, serta berisiko menanggung kewajipan yang sama. 51. Keterangan menunjukkan Plaintif dalam melaksanakan projek tersebut telah tidak dibayar oleh Defendan berdasarkan sijil-sijil perakuan pembayaran interim yang telah diperakukan yang telah menyebabkan aliran wang tunai Plaintif terbantut dan menyebabkan kerja-kerja tidak dapat dijalankan dengan lancar. Dalam masa yang sama, telah wujud masalah berkaitan pengambilan tanah, pengalihan kabel elektrik, paip air, kabel TM dan Maxis serta utiliti yang lain yang masih belum selesai. Kesemua masalah tersebut berada dalam pengetahuan Defendan dan merupakan tanggungjawab Defendan selaku kontraktor utama untuk menyelesaikannya. 52. Sebaliknya, sijil perakuan pembayaran interim no. 33 hingga no. 38 yang telah diperakukan oleh pihak JKR ke atas kerja-kerja yang dilakukan oleh Plaintif adalah sejumlah RM8,956,300.00. Namun, Defendan telah gagal membuat pembayaran back to back seperti mana yang telah dipersetujui dan ianya telah menyebabkan kontraktor-kontraktor yang dilantik oleh Plaintif tidak dapat menjalankan kerja-kerja dengan lancar yang akhirnya menyebabkan mereka telah mengambil tindakan menggulung Plaintif. 53. Mahkamah berpandangan adalah jelas Defendan terlebih dahulu melanggar perjanjian apabila gagal membuat pembayaran kepada Plaintif secara back to back seperti mana yang telah disahkan oleh Mahkamah Rayuan dan Mahkamah Persekutuan berkaitan isu bayaran back to back. Ini membawa mahkamah telah memberi Penghakiman Terus ke atas jumlah sijil-sijil perakuan pembayaran interim yang telah diperakukan oleh JKR setelah membuat tolakan ke atas bahagian yang layak bagi peratusan milik Defendan ke atas jumlah yang diperakukan. 54. Apabila Defendan yang melakukan kemungkiran terlebih dahulu, prinsip undang-undang adalah jelas bahawa pihak yang melanggar perjanjian tidak boleh mengambil keuntungan untuk menyalahkan pihak yang satu lagi gagal mematuhi perjanjian sedangkan merekalah pihak yang mula-mula melanggar perjanjian. Maka Defendan tidak boleh mengambil keuntungan di atas perkara tersebut dengan menyalahkan Plaintif kemudiannya. 55. Prinsip ini telah diputuskan oleh Mahkamah Persekutuan dalam kes Akitek Tenggara Sdn Bhd v Mid Valley City Sdn Bhd [2007] 6 CLJ 93 seperti berikut: “This state of affairs was brought about by the act of the defendant itself thereby disabling it from performing its part of the agreement. The defendant cannot disable itself from performing a contract brought about by its own acts. The reason for the termination of the services of the Plaintiff by the Defendant is thus not valid. There is therefore a constructive breach of contract by the Defendant. What now remains to be considered is the measure of damages to which the Plaintiff is entitled.” 56. Keputusan Mahkamah Persekutuan telah diterima pakai oleh Mahkamah Rayuan dalam kes Leopad Holdings Sdn Bhd v Asian Shield Warehousing Sdn Bhd (In Liquidation) [2024] 3 CLJ 517. 57. Berdasarkan kepada analisis-analisis ini, mahkamah ini memutuskan bahawa Plaintif di atas imbangan keberangkalian telah berjaya membuktikan bahawa penamatan perjanjian tersebut oleh Defendan adalah tidak sah di sisi undang-undang. Isu (b); jika tidak sah, sama ada Plaintif layak dipampas dan sama ada pampasan tersebut wajar ditolak selesai (set off) dari jumlah yang telah dibayar serta bayaran lain yang dibuktikan oleh Defendan 58. Secara amnya, apabila penamatan perjanjian tersebut telah diisytiharkan oleh mahkamah ini sebagai tidak sah, maka dengan secara langsungnya Plaintif layak untuk dipampas dengan ganti rugi yang bersesuaian. 59. Berkaitan perenggan (c) iaitu baki upah Sijil Perakuan Interim No. 33 hingga 38 dan (d) iaitu wang tahanan berjumlah RM727,460.00, ia sudah tidak lagi menjadi isu memandangkan penghakiman yang dibenarkan oleh Mahkamah Rayuan dan Mahkamah Persekutuan yang kemudiannya telah direkodkan oleh mahkamah ini. Oleh itu, jumlah ini sudah tidak lagi menjadi isu. 60. Satu-satunya yang berbangkit adalah berkaitan dengan tuntutan Plaintif di perenggan (e) iaitu kehilangan keuntungan sejumlah 20% dari harga kontrak. Peguam Plaintif menghujahkan bahawa menjadi prinsip dalam industri pembinaan bahawa kehilangan keuntungan adalah merupakan perkara yang memberi kesan yang besar apabila sesuatu perjanjian ditamatkan sebelum penyiapan kerana jika sekiranya perjanjian tidak ditamatkan dan berjaya disiapkan oleh Plaintif sudah pasti keuntungan itu akan berada di antara 5% hingga 20% dari harga kontrak. 61. Secara amnya, mahkamah berpandangan bahawa kehilangan keuntungan, dalam konteks perniagaan atau undang-undang, merujuk kepada kerugian kewangan yang dialami oleh pihak akibat gangguan atau kegagalan untuk memenuhi sesuatu perjanjian, yang mengakibatkan pengurangan pendapatan yang dijangkakan. Pada asasnya, ia adalah wang yang akan diperoleh oleh syarikat atau individu jika perjanjian telah berjaya diselesaikan seperti yang dirancang. 62. Isu yang perlu dipertimbang oleh mahkamah adalah apakah kadar peratusan yang difikirkan wajar bagi menentukan kehilangan keuntungan Plaintif. 63. Mahkamah Persekutuan dalam kes SPM Membrane Switch (supra) menegaskan: “[127] Section 74(1) and (2) of the Contracts Act 1950 is reproduced in this judgment: Compensation for loss or damage caused by breach of contract 74. (1) When a contract has been broken, the party who suffers by the breach is entitled to receive, from the party who has broken the contract, compensation for any loss or damage caused to him thereby, which naturally arose in the usual course of things from the breach, or which the parties knew, when they made the contract, to be the likely result from the breach of it. (2) Such compensation is not to be given for any remote and indirect loss or damage sustained by reason of the breach. ... [128] Section 74(1) and (2) in Hamdan bin Johan & Ors v. FELCRA Bhd & Ors [2010] 3 CLJ 474; [2010] 8 MLJ 628, was held to substantially affirm the common law rule laid down in Hadley v. Baxendale (1854) 9 Ex 341: (1854) 165 ER 145 where in the general assessment of damages for breach of contract, the general rule is that the aggrieved party is to be put in the same position as they would be if the contract had been properly performed, so that normally he is entitled to recover from the contract breaker his loss of profit or the benefit of the bargain. The other cases cited by the appellant include Bank Bumiputera Malaysia Bhd Kuala Terengganu v. Mae Perkayuan Sdn Bhd & Ors [1993] 2 CLJ 495; [1993] 2 MLJ 76 and Nikmat Masyhur Sdn Bhd v. Kerajaan Negeri Johor Darul Ta'zim [2014] 1 ML Jeon 213; [2008] 9 CLJ 46 essentially set forth the same propositions ie that the damage or loss suffered must be within the contemplation of both parties whether actual or constructive, that the loss suffered was a natural and probable result of the defendant's breach and that it included loss of profits. We have no disagreement with the statements of principle in this case. It is clear that a rate of commission amounting to 20% was agreed for the collection of the arrears, and it therefore would be the natural and probable result, as well as have been in the contemplation of the parties that premature termination would result in the loss of those profits. ... [130] This calculation does not reflect the principles of compensation for loss of profits and will put the appellant in a position well beyond that which it would rightfully be in, had the contract been properly performed. A calculation based on 'commissions', that is to say receipts, is very different from a calculation based on 'profits'. To award damages based on commissions would completely disregard the fact that had the contract been properly performed the appellant would have had to incur expenses and costs of operation, among other things. The proper sum should therefore be net of all the expenses that would be reasonably incurred in the remaining 20 month period. To do othemise would give the appellant more than they would have obtained had the contract been performed, and therefore more than what they rightfully deserved. However, contrary to the respondent's submission and the judgment of the trial judge, the mere fact that the formula was the appellant's own formulation (presumably in contradistinction with a formula provided for within the contract) is not a ground for rejecting the formula, the agreement did not stipulate a formula for calculating loss of profits, and as such the general principles of the common law will apply and a formula that best estimates the future loss of profits will be preferred by the court.” 64. Dalam masa yang sama, mahkamah turut berpegang kepada kes Pancaran Prima Sdn Bhd v. Iswarabena Sdn Bhd And Another Appeal [2020] 9 CLJ 466; [2020] MLJU 1273; [2021] 1 MLJ 1 di mana Mahkamah Persekutuan menyatakan; “[60] The appellant's claim, it will be recalled, was for loss of profit of RM2,635,936.26 which amounted to 25% of the remaining works. Its witness had testified that he had included a margin of 15% in the project budget. The respondent's position on the other hand was rather straightforward. Its case was that the appellant's computation ought to be rejected outright and that the appellant was only entitled, if at all, to nominal damages. [61] As can be seen from the loss of profit award, the learned arbitrator was prepared to rule that the appellant had successfully made out its case for a 25% profit but because of the contingencies, he reduced it to 10% and 7.5% respectively. He rejected the respondent's argument that only nominal damages ought to be awarded to the appellant. [62] In awarding a loss of profit of 10% for the remaining drainage works and 7.5% for the remaining vehicular box culvert, the arbitrator was in fact moderating the appellant's claim of 25% by reducing it for contingencies, albeit taking the 10-15%, margin for P&A which he described as 'almost the norm' in the Malaysian construction industry. [63] Obviously, what the learned arbitrator did was to strike a balance between the high and the low of the quantum for loss of profit. He did not slavishly apply the 10-15% 'norm'but only allowed for a lower range. We agree with learned counsel for the appellant that this is what arbitrators are expected to do.” 65. Selanjutnya, dalam kes Mahsurimas Sdn Bhd v. Dorsett Regency Hotel (M) Sdn Bhd [2024] CLJU 1441; [2024] MLRHU 1172, Mahkamah Tinggi telah menggariskan perkara-perkara yang perlu dipertimbangkan dalam menimbang jumlah yang sesuai seperti berikut: “[185] According to Julian Bailey in Construction Law (Volume II), 3rd ed., pages 1149-1153, paras 13.20 - 13.26, 6 matters were to be considered with regard to damages for loss of profit: "(a) First, damages awarded to a claimant for loss of profit will be calculated by looking at the overall position of the claimant. The claimant is not entitled to be put in a better position than it would have been in had the contract been performed, and not broken... (b) Secondly, where a party claims to have suffered a loss of profit (or a loss of an opportunity to make a profit) as a consequence of another's breach of contract, it is for the party to adduce sufficient evidence of its loss based on factual material, as opposed to hypothetical calculation that bears little or no relation to the facts of the case... (c) Thirdly, even if a party who claims damages for a loss of profit does adduce cogent evidence, it may be appropriate (although ultimately the position is fact sensitive) to make a deduction from the sum calculated by the claimant to reflect general vicissitudes, and the risk that the claimant would not have derived that profit even if the contract in question had been performed and not broken. (d) Fourthly, an identified loss of profit may, depending upon the circumstances in which the parties transacted, be regarded as either a direct loss recoverable under the first limb of Hadley v. Baxendale, or an indirect loss recoverable only under the second limb... (e) Fifthly, the award of damages for future loss of profits will be discounted to take account of the time value of money. (f) Sixthly, the costs that are taken into account in determining whether there has been a loss of profit, and if so what that loss is, may include indirect costs such as overheads, at least where it is realistic to attribute such indirect costs to the project in question..." 66. Dalam menimbangkan jumlah pampasan yang sesuai, mahkamah berpandangan bahawa sesuatu kehilangan keuntungan akan dikira dengan melihat kedudukan keseluruhan pihak yang menuntut iaitu Plaintif. Bagi maksud tersebut, adalah untuk Plaintif untuk mengemukakan bukti yang mencukupi tentang kerugiannya berdasarkan keterangan dan bukannya semata-mata berdasarkan pengiraan hipotetikal. 67. Dalam kes ini, fakta yang tidak dipertikaikan adalah Plaintif telah pada awalnya dinafikan bayaran back to back namun ianya telah direkodkan sepertimana penghakiman mahkamah ini. Tiada keterangan dikemukakan sama ada bayaran back to back ini telah dilunaskan walaupun mahkamah sedia maklum permohonan penangguhan perlaksanaan penghakiman tersebut telah ditolak. 68. Walaupun secara asasnya Plaintif tidak mengemukakan keterangan secara spesifik bagi membuktikan kerugiannya, namun ia tidak menghalang mahkamah dari menimbangkan sama ada jumlah yang dituntut oleh Plaintif menggambarkan kerugian yang ditanggung oleh Plaintif akibat penamatan tersebut sebelum sempat projek tersebut disiapkan. 69. Pertimbangan mahkamah tersebut bergantung kepada keadaan sesuatu kes dan hendaklah mengambil kira potongan sewajarnya ke atas nilai semasa wang serta kos yang telah menyebabkan berlakunya kerugian keuntungan dan termasuk kos secara tidak langsung yang realistik untuk mengaitkannya dengan projek tersebut. 70. Dalam kes ini Plaintif hanya meletakkan jumlah am yang difikirkan sesuai iaitu 20% dari harga kontrak tanpa justifikasi. Mahkamah berpandangan bahawa jumlah 20% tersebut adalah terlalu tinggi dan jumlah yang sesuai adalah 5% dari harga keseluruhan perjanjian menjadikan jumlahnya sebanyak RM9,929,186,53. Ini mengambilkira Plaintif telahpun menerima bayaran atas kerja-kerja yang dilakukan termasuk penghakiman terus yang telah direkodkan. 71. Peguam Defendan membangkitkan isu berkaitan ditolak selesai (set off) sepertimana yang diputuskan oleh Mahkamah Agung dalam kes Permodalan Plantations Sdn Bhd v Rachuta Sdn Bhd [1985] 1 MLJ 157 yang menyatakan: “A set-off is a cross-claim for a sum of money by a defendant against a plaintiff's claim for another sum of money for which the defendant is being sued.... Whether or not the plea is a set-off it has to be determined as a matter of law and substance: Hanak v. Green [1958] 2 QB 9. A cross-claim which is accepted as a defence of set off has the effect of extinguishing either the whole or part of the plaintiff's claim. See In re A Bankruptcy Notice [1934] Ch 431. But to constitute a set-off the sum of money meant as a cross-claim must from its nature and quality be such that it is proper to be dealt with as a defence to the plaintiff's claim and not as a separate cause or matter.... Hence, to constitute a set-off, the matter raised by the defendant must be such that it is proper to be dealt with as a defence to the plaintiff's claim. However, the defendant's submissions in the Adjudication Response are in relation to an overpayment on its part following the execution of documents pertaining to the assignment of the proceeds and all rights, interests and benefits under the contract. These contentions are a separate cause or matter which are unrelated to the disputes referred to in the adjudication proceedings.” 72. Salleh Abas KHN dalam Permodalan Plantations Sdn Bhd (supra) turut menyatakan: “..., there being no Malaysian Statutes comparable to the United Kingdom Statutes on the subject, we therefore hold that only equitable and not legal set-off is part of our law, and consequently the court can only deal with an equitable set-off.” 73. Selanjutnya Mahkamah Persekutuan dalam kes Shanghai Hall Ltd v. Town House Hotel Ltd [1967] CLJU 158; [1967] 1 LNS 158; [1967] 1 MLJ 223 telah menerangkan berkaitan hak untuk ditolak selesai seperti berikut: “With regard to the word "set-off", Lord Hanworth M.R. in Re A Judgment Debtor, Ex parte Judgment Creditor [1934] All ER Rep 688 said: "That is a word well known and established in its meaning; it is something which provides a defence because the nature and quality of the sum so relied upon is a sum which is proper to be dealt with as diminishing the claim which is made, and against which the sum so demanded can be set-off.” 74. Dalam membuktikan jumlah yang perlu ditolak selesai, Defendan bergantung sepenuhnya ke atas keterangan oleh SD5. Namun mahkamah mendapati bahawa keterangan SD5 adalah dengar cakap semata-mata kerana dokumen-dokumen yang dirujuk kekal sebagai dokumen yang tidak dipersetujui. Di samping itu, Quantity Surveyor (QS) sebenar projek tersebut iaitu Encik Zul Hamizan langsung tidak dipanggil memberi keterangan. 75. Mahkamah bersetuju dengan hujahan peguam Plaintif bahawa apabila Encik Zul Hamizan tidak dipanggil maka andaian bertentangan di bawah misalan (g) seksyen 114 Akta Keterangan 1950 adalah berbangkit. 76. Sehubungan dengan itu, mahkamah memutuskan bahawa jumlah bayaran yang kononnya dilakukan oleh Defendan adalah tidak berjaya dibuktikan dan sehubungan dengan itu tidak melayakkan jumlah pampasan yang diputuskan ditolak selesai. Isu (c); sama ada Defendan berhak dipampas oleh Plaintif 77. Bagi isu ini, mahkamah merumuskan bahawa ia tidak lagi berbangkit kerana mahkamah telah memutuskan bahawa penamatan perjanjian oleh Defendan adalah tidak sah dan terbatal. Kesimpulan 78. Secara kesimpulannya, mahkamah memutuskan bahawa Plaintif di atas imbangan keberangkalian telah berjaya membuktikan tuntutan Plaintif. 79. Mahkamah dengan ini memerintahkan: a) penamatan perjanjian oleh Defendan melalui notis bertarikh 5/4/2021 adalah batal dan tidak sah di sisi undang-undang; b) Defendan hendaklah membayar kepada Plaintif kehilangan keuntungan yang dikira 5% dari harga keseluruhan perjanjian menjadikan jumlahnya sebanyak RM9,929,186,53; c) faedah sebanyak 5% dari tarikh writ saman difailkan sehingga penyelesaian penuh; dan d) Kos sebanyak RM80,000.00 Bertarikh : 26hb.
