Menyelengara lanskap dan pemotongan rumput dalam kawasan Meru Valley Resort tetapi tidak termasuk kawasan Pangsapuri Golf Vista. [37] Oleh yang demikian, infrastruktur awam/umum di dalam kes ini, iaitu antara lain jalan raya, sistem retikulasi air, lampu jalan, serta landskap juga terletak diluar parcel penghuni-penghuni dan digunakan oleh semua pemilik parcel. Maka, Responden selaku Badan Pengurusan, adalah bertanggungjawab untuk menyelengara infrastruktur tersebut. Memandangkan Perayu telah menyelengara infrastruktur awam/umum tersebut bagi pihak Responden, maka Responden harus membayar untuk perkhidmatan tersebut sebagaimana yang telah diputuskan dalam kes Two Square Sdn Bhd v Perbadanan Pengurusan 3 Two Square; Yong Shang Ming (3rd Party) [2018] MLRHU 84 sepeti berikut: [43] The Strata Titles Act 1985 defines common property by way of exclusion; that which is not a parcel would be common property. As the cooling tower, the Crest Tower toilets, the windows and facade of Crest Tower and the landscaped area surrounding Crest Tower area are all located outside areas that have been identified as parcels in the strata plan, these all must compromise the common property in 3 Two Square. S/N RQi9dx4VukmgxlaNCPcm0w [44] Accordingly, the responsibility for the maintenance and upkeep for these facilities should fall on the Management Corporation. [38] Kesemua perkhidmatan yang disediakan adalah untuk mengekalkan kualiti kehidupan berkonsep ‘resort’ di dalam Meru Valley Resort. Perkhidmatan yang telah disediakan tersebut telah memberi kebaikan serta keselesaan kepada penghuni-penghuni Pengsapuri Golf Vista. [39] Meru Valley Resort merupakan satu penginapan eksklusif dan satu pembangunan perumahan yang berunsur ‘kehidupan berkonsepkan resort Fakta ini tidak boleh dipertikaikan kerana ia telah diputuskan di dalam kes Mahkamah Tinggi Dr. Christian Jurgen Kaul & Anor v Meru Valley Resort [2013] 5 MLRH 173 seperti berikut: [1] The plaintiffs had been staying in the Meru Valley Resort (“resort”) in Ipoh for a while in a rented place before they decided to buy one of their own. It is a new concept of living in a Golf Resort within a gated and guarded community developed by the defendant, a housing developer. There are common property, areas and facilities that all who are residents there could enjoy [55] Living in a gated and guarded community would come with it the need to share things in common with respect of certain facilities. S/N RQi9dx4VukmgxlaNCPcm0w [62] Granted this is a development with common properties and areas and common facilities in a resort-style living in a gated and guarded community with golf membership and facilities are ahead of the times where the legal infrastructure that was then in place was where strata titles with management corporation over common properties were only confined to high-rise buildings. [63] As and when the time has come for the strat titles to be issued, the community’s spirit de corps can rise to the occasion and do away by majority vote anything they see as infringing their personal liberty in a community living. When that comes, the future is very much in their hands with respect to provisions on the supply of water and electricity, the use of common properties and roads, parking, height of fencing, guard and security services, landscaping and even the façade of the buildings if that is of cause for concern. [66] It is no exception here. Indeed, by buying into the concept of resort living then, it is implied that the Plaintiffs would have agreed to abide by what is already in place with respect to the contractual obligations of the previous owners vis-à-vis the developer and also the purchasers here vis-à-vis other purchasers. S/N RQi9dx4VukmgxlaNCPcm0w [40] Oleh yang demikian, Mahkamah ini berpendapat bahawa Meru Valley Resort merupakan satu penginapan berpagar, bersekuriti dan berkonsepkan kehidupan ‘resort’. Oleh yang demikian, setiap penghuni yang tinggal di dalam resort tersebut harus membayar kos penyelengaraan supaya infrastruktur awam/umum dapat diselangara untuk kebaikan kesemua penghuni. Penghuni-penghuni Pangsapuri Golf Vista yang menduduki di dalam Meru Valley Resort harus membayar kos penyelengaraan tersebut. [41] Responden, sebagai Perbadanan Pengurusan telah membangkitkan isu bahawa Perayu tidak mempunyai sebarang locus untuk menuntut kos penyelengaraan daripada Responden, kerana tiada priviti kontrak diantara pihak-pihak. [42] Responden setelah diperbadankan, bertindak sebagai pengganti dalam hakmilik kepada Pemaju. Sebagai pengganti dalam hakmilik, Responden adalah terikat dengan sebarang perjanjian atau persetujuan yang telah dicapai oleh Pemaju tersebut dengan Perayu. Mahkamah merujuk kepada kes Mahkamah Rayuan Perbadaanan Pengurusan Endah Parade v Magnificient Diagraph Sdn Bhd [2013] 6 MLJ 343, dimana Yang Arif Mohamad Ariff (beliau pada ketika itu) memutuskan di dalam perenggan [39] seperti berikut:- [39] We also cannot agree with the appellant’s submission that upon incorporation, the management corporation assumes the common property free from all encumbrances. Our law does not have the equivalent of s18 of the S/N RQi9dx4VukmgxlaNCPcm0w Australian Strata Schemes Act 1973. The better view surely is that the management corporation is a successor-in-title to the developer. If there had been an agreement to allow free signage use in the sale and purchase agreement, then the present management corporation should be bound by it. [43] Oleh yang demikian, Pemaju telah mengakui perkhidmatan yang diberikan oleh Perayu tersebut dan telah membayar kos penyelengaraan kepada Perayu. Satu kontrak telah terjalin diantara Perayu dan Pemaju yang mengikat Responden sebagai pengganti dalam hakmilik kepada Pemaju. Responden, selaku pengganti dalam hakmilik dan penerima hakmilik (successor in title and permitted assigns) daripada Pemaju, adalah terikat dengan kedudukan yang telah diambil oleh Pemaju tersebut. [44] Oleh itu, Responden adalah terikat secara kontrak untuk mengutip kos penyelengaraan daripada penghuni-penghuni Pangsapuri Golf Vista dan seterusnya membayar kos penyelengaraan tersebut kepada Perayu. Dengan itu, Responden selaku Perbadanan Pengurusan harus membayar kos tersebut. [45] Pendekatan ini telah diambil di dalam kes Mahkamah Rayuan Paradise Boulevard Sdn Bhd v Badan Pengurusan Bersama Kompleks Pandan Safari Lagoon [2021] MLRAU 260, dimana Yang Arif Nantha Balan memutuskan seperti berikut:- [27] The High Court in a more recent decision in UEM Land Berhad v. Yongnam Engineering Sdn Bhd [2020] 3 S/N RQi9dx4VukmgxlaNCPcm0w MLRH 223; [2020] 5 AMR 409 usefully summarised the law on this subject in the following clear fashion:- [42] ‘It is trite law that dissatisfaction with services is not a justification to refuse to abide by the provision of payment to the Plaintiff under the SPA. In any contract where services are rendered, payment must be made, especially so when those services are continued to be provided. The quality (or lack thereof) of such service does not justify refusal to pay. Business operations would reach a standstill if consumers were given the liberty to make or refuse payment depending on what they perceive to be a satisfactory level of services. It would be an affront to business and commercial and sense if such were the case.’ [46] Sehubungan dengan itu, Mahkamah berpendapat bahawa Responden harus membayar untuk kos penyelengaraan tersebut dan kos penyelengaraan yang harus dibayar, ianya hanya boleh ditentukan melalui perbicaraan penuh. [47] Selain apa yang diperkatakan di atas, hubungan di antara Perayu dan Responden merupakan satu ketetapan komersil di mana perkhidmatan sedemikian tidak diberikan secara percuma. Mahkamah merujuk kepada kes Mahkamah Tinggi Teras Kimia Sdn Bhd v. Kerajaan Malaysia [2014] 7 MLJ 584 di mana YA Hakim Nallini Patmanathan (pada ketika itu) memutuskan seperti berikut:
