SERI MUTIARA DEVELOPMENT SDN BHD … DEFENDAN- [(Penerima Bersama dan Berasingan dilantik DEFENDAN untuk Aset Digadai Spesifik) (Dalam Likuidasi)] [No. Syarikat : 200901022786/865885-D] 2. LIM TIAN HUAT [NO. K/P : 541128-04-5235] [Didakwa sebagai Penerima yang dilantik dalam jagaan Tetuan Rodgers Reidy & Co.] 3. CHIANG TENG GUAN [NO. K/P : 851030-04-5265] [Didakwa sebagai Penerima yang dilantik dalam jagaan Tetuan Rodgers Reidy & Co.] ALASAN PENGHAKIMAN A. PENDAHULUAN 1. Ini adalah tuntutan plaintif melalui Saman Pemula terhadap defendan-defendan untuk mendapatkan deklarasi berhubung dua unit pangsapuri di Kuchai East Residence. Pada 14.5.2025, Mahkamah Tinggi telah menolak tuntutan plaintif dengan kos. Alasan-alasan bagi keputusan Mahkamah ini dibentangkan di sini. B. FAKTA MATERIAL 2. Plaintif telah membeli Unit No. 46-12 berharga RM623,000.00 dan Unit No. 15-15 pada harga RM478,000.00 di Kuchai East Residence melalui Perjanjian Jual Beli bertarikh 23.10.2020 yang dimasuki olehnya dengan defendan pertama selaku pemaju dan penjual. 3. Defendan pertama sebuah syarikat pemaju yang berada dalam likuidasi. Manakala defendan kedua dan ketiga dilantik oleh Malaysian Trustee Berhad (MTB) sebagai Penerima Bersama bagi defendan pertama. 4. Tuntutan plaintif terhadap defendan-defendan di sini terbit berikutan daripada hal perkara yang melibatkan pertikaian antara plaintif dengan Axisjaya Sdn Bhd. Pertikaian antara plaintif dengan Axisjaya Sdn Bhd bermula sejak dari guaman difailkan oleh plaintif pada 3.9.2019 di Mahkamah Tinggi Shah Alam Guaman No. BA- 22C-36-09/2019 (Guaman 36). Guaman 36 telah diselesaikan melalui Perjanjian Penyelesaian bertarikh 1.6.2020 dengan jumlah penyelesaian RM2,227,316.63. Terma perjanjian penyelesaian tersebut antara lain mensyaratkan supaya sebahagian jumlah penyelesaian berjumlah RM1,101,000.00 dipenuhi melalui kaedah kontra atau tolakan daripada pangsapuri Unit 46-12 dan Unit 15-15 tersebut yang merupakan hal perkara dalam Saman Pemula di sini. 5. Perjanjian jual beli bagi Unit 46-12 dan Unit 15-15 dimasuki oleh plaintif dengan defendan pertama diikuti dengan Surat Ikatan Perjanjian Bersama. Perjanjian-perjanjian tersebut disediakan oleh Tetuan Khairin-Nisa & Co. 6. Defendan pertama pula telah menggadaikan 125 unit pangsapuri di Kuchai East Residence termasuk Unit 46-12 dan Unit 15-15 melalui Debentur dengan Malaysian Trustee Berhad (MTB). MTB merupakan Pemegang Amanah Sekuriti dengan balasan medium term note RM50,000,000.00 yang dikeluarkan oleh defendan pertama. Debentur tersebut telah didaftarkan dengan Suruhanjaya Syarikat Malaysia (SSM) pada 18.5.2022. C. PENEGASAN PLAINTIF 7. Plaintif tidak dikenakan bayaran fi guaman bagi penyediaan perjanjian-perjanjian tersebut melainkan kos duti setem berjumlah RM160.00 dan mengemukakan ekshbit CTC-5 yang mengandungi baucer dan bukti bayaran. Hubungan Axisjaya dan Defendan Pertama 8. Plaintif menegaskan bahawa defendan pertama dan Axisjaya merupakan entiti-entiti yang mempunyai perkaitan dengan Datuk Hoe Tze Fook (Datuk Hoe) yang merupakan pengarah dan pemegang saham terbesar dalam kedua-dua syarikat sama ada secara langsung atau tidak langsung melalui DHB Holdings Sdn Bhd. Plaintif mengemukakan carian Suruhanjaya Syarikat Malaysia (SSM) bagi defendan pertama, Axisjaya dan DHB Holdings bertarikh 15.8.2019, 11.3.2020 dan 12.10.2023 untuk menyokong fakta bahawa Datuk Hoe mempunyai kawalan berkesan terhadap defendan pertama dan Axisjaya. 9. Dalam konteks balasan bagi perjanjian penyelesaian antara plaintif dan Axisjaya, plaintif menekankan hujah bahawa atas hubungan antara Axisjaya dan defendan pertama, telah wujud balasan yang sah yang diberikan melalui Unit 46-12 dan Unit 15-15 dengan harga belian RM1,101,000.00 walaupun plaintif mengakui balasan diberikan oleh pihak ketiga iaitu defendan pertama yang bukan pihak dalam perjanjian penyelesaian tersebut. D. PENEGASAN DEFENDAN 10. Defendan Ketiga telah mengikrarkan Afidavit Jawapan (Kandungan 7) bagi pihak kesemua defendan. Defendan-defendan mengemukakan bantahan awal terhadap Saman Pemula plaintif, iaitu – i. Plaintif gagal mendapatkan kebenaran Mahkamah menurut seksyen 471 Akta Syarikat 2016 untuk memulakan Saman Pemula terhadap defendan pertama. ii. Plaintif tidak menamakan Malaysian Trustee Berhad (MTB) dalam guaman ini meskipun plaintif tahu bahawa MTB mempunyai kepentingan sebagai pemegang gadaian terhadap Unit 46-12 dan Unit 15-15 menurut Debentur Spesifik (Kuchai East) bertarikh 20.4.2022. E. ISU UNTUK DIPUTUSKAN 11. Berikut adalah isu-isu yang relevan untuk diputuskan – (i) Sama ada kegagalan plantif mendapatkan kebenaran Mahkamah menurut seksyen 471 Akta Syarikat 2016 untuk memulakan Saman Pemula terhadap defendan pertama merupakan suatu yang fatal. (ii) Sama ada tuntutan plaintif cacat kerana tidak menamakan Malaysian Trustee Berhad sebagai pihak dalam Tindakan ini. (iii) Sama ada Unit 46-12 dan Unit 15-15 tertakluk kepada gadaian menurut Debentur Spesifik bagi kepentingan Malaysian Trustee Berhad F. ANALISIS DAN DAPATAN MAHKAMAH Isu 1: Sama ada kegagalan plantif mendapatkan kebenaran Mahkamah menurut seksyen 471 Akta Syarikat 2016 untuk memulakan Saman Pemula terhadap defendan pertama merupakan suatu yang fatal. 12. Dalam tuntutan ini, plaintif dengan jelas menamakan defendan kedua dan ketiga atas kapasiti mereka sebagai Penerima Bersama bagi defendan pertama yang telah dilantik oleh Malaysian Trustee Berhad (MTB). 13. Penamaan defendan kedua dan ketiga dalam prosiding Saman Pemula ini menunjukkan plaintif mempunyai pengetahuan penuh berkenaan dengan status defendan pertama yang telah digulungkan. Seksyen 471 Akta Syarikat 2016 memperuntukkan - (1) When a winding up order has been made or an interim liquidator has been appointed, no action or proceeding shall be proceeded with or commenced against the company except by leave of the Court and in accordance with such terms as the Court imposes. (2) The application for leave under subsection (1) shall be made in the Court granting the winding up order and shall be served on the liquidator. (3) The office copy of the order for leave under subsection (1) shall be lodged by the applicant referred to in subsection 470(1) with the Registrar and with the Official Receiver within fourteen days from the making of the order. 14. Mahkamah ini merujuk keputusan Mahkamah Persekutuan dalam CGU Insurance Bhd v Asean Security Paper Mills Sdn Bhd & Other Appeals [2002] 2 CLJ 1 seperti berikut – 19) This appears to us to be also just and proper as in such a case, it is the company which wants to fasten the liability while the person against whom such liability is attempted to be fastened, in a legal proceeding pending in a court, wants to escape that liability. Liquidation proceedings under the Companies Act are for making available the assets of the company in pari passu satisfaction of its liabilities, and if persons other than secured creditors are allowed to enforce their claims without any control exercised by the Company Judge, it may defeat or delay that object. But where a company has initiated a proceeding in a court of law whether before or after the winding-up order, no permission of the Company Judge should be needed for anything done by the defendant or the opposite party to escape the liability thus intended to be fastened on him. If, however, the proceedings in a court of law are started by a person other than the company, either with the object of fastening a liability on the company or with the intention of escaping a liability in respect of a claim which has not been brought into court by the company itself, the permission of the Company Judge is required for the institution or the continuance of the proceedings. For instance, if a person files a suit for a declaration that the company owes to him a certain sum of money or that he does not owe the company any sum of money, the permission of the Company Judge is necessary. If, however, the company has instituted a suit or other proceeding to enforce a claim, any action taken by the defendant or the opposite party by way of defence, or if the company has obtained a decree or order, any defensive action by way of appeal, revision, review or setting aside of an ex parte decree or order, should not require the permission of the Company Judge. 15. Berdasarkan nas undang-undang di atas, plaintif perlu mendapatkan kebenaran mahkamah sebelum memfailkan Saman Pemula terhadap defendan pertama. Namun plaintif hanya memfailkan permohonan kebenaran di Mahkamah Tinggi Shah Alam selepas guaman di sini dimulakan dan kebenaran hanya diberikan pada 10.3.2025. Mahkamah ini mendapati peguam cara defendan tidak lagi membantah terhadap penerusan tindakan plaintif di sini selepas dari perintah kebenaran diperolehi. Isu 2: Sama ada tuntutan plaintif cacat kerana tidak menamakan Malaysian Trustee Berhad sebagai pihak dalam Tindakan ini. 16. Defendan-defendan mengemukakan alasan bantahan awal bahawa kegagalan plaintif menamakan Malaysian Trustee Berhad sebagai defendan akan menafikan hak MTB untuk didengar sekiranya perintah yang dipohon oleh plaintif dibenarkan. 17. Plaintif sebaliknya berhujah bahawa menamakan Penerima Bersama sebagai defendan kedua dan ketiga adalah mencukupi tanpa perlu menamakan MTB sebagai pihak dalam prosiding ini. Hal ini kerana plaintif menegaskan Penerima Bersama adalah agen kepada MTB dan berupaya untuk membela tuntutan plaintif terhadap unit-unit tersebut. 18. Pada hemat Mahkamah ini, oleh kerana perisytiharan yang dipohon oleh plaintif di sini adalah terhadap Unit 46-12 dan Unit 15- 15 di Kuchai East Residence maka penentuan sama ada unit-unit ini terangkum dalam gadaian oleh plaintif kepada MTB perlu ditentukan. Selain itu, persoalan tentang apakah fungsi dan peranan defendan kedua dan ketiga juga perlu ditentukan. Mahkamah ini merujuk dokumen Specific Debenture (Kuchai East) yang ditandatangani oleh defendan pertama dengan MTB bertarikh 20.4.2022 khasnya klausa 10.5 yang ditunjukkan dalam Ekshibit D-1. 19. Jika klausa 10.5 Specific Debenture (Kuchai East) diteliti, pelantikan Penerima Bersama adalah terhad untuk melaksanakan perkara-perkara yang disenaraikan dalam item (a) – (e). 20. Mahkamah ini bersetuju dengan hujahan peguam cara terpelajar bagi defendan-defendan bahawa sekiranya plaintif berhasrat untuk meneruskan tuntutan mendapatkan relif di sini, MTB hendaklah dinamakan sebagai pihak. 21. Mahkamah ini turut berpuashati bahawa klausa 2.1 dan 2.3 dalam Specific Debenture (Kuchai East) meletakkan kepentingan MTB mengatasi plaintif. Klausa 2.1 memperuntukkan – Clause 2.1 Debenture “The Chargor, as beneficial owner, irrevocably and unconditionally charges and agrees to charge in favour of the Security Trustee as security for the payment in full of the Secured Amounts, by way of a first fixed charge, all the Charged Assets together with all its present and future rights, title, benefits and interests in and to the Charged Assets, as well as any other additional and/or substituted assets from time to time charged in addition to and/or in substitution for any of the Charged Assets.” 22. Manakala klausa 2.3 pula adalah seperti berikut – Clause 2.3 Debenture “The security hereby created over the Charged Assets for the MTB Holders shall rank first in point of priority.” 23. Mahkamah Persekutuan dalam kes K Subramaniam, Liquidator For Kosmopolitan Credit & Leasing Sdn Bhd (In Liquidation) v MBF Finance Bhd & Anor [2005] 2 MLJ 201 memutuskan – 54 Following my interpretation of the relevant laws and their application to the cases cited, I answer the six questions posed to us in the following manner: (1)… (i)Upon the winding-up of a company and the appointment of a liquidator, the receiver and manager ceases to be the agent of the company but he continues to retain his possessory rights conferred upon him by the debenture to take custody and control of all the assets charged under the debenture. (ii)Section 233 and/or s 277 of the Act, read together with ss 300 and 305 of the same Act and r 66 of the Rules do not apply to a receiver and manager appointed pursuant to a power contained in a debenture and the receiver and manager is entitled to possession and control of the charged assets despite a demand made by the liquidator for their return, unless those assets are redeemed by the liquidator or there is a surplus of proceeds which has to be returned to the liquidator. (iii)Following a winding-up, the receiver and manager loses his status as agent of the company. He continues to retain his possessory powers as a receiver and manager whilst the liquidator exercises his statutory powers and duties under the Act. There is no question of any superior ranking. They exist side by side with each exercising his separate powers and duties conferred on them by the Act in the case of the liquidator and by the debenture in the case of the receiver and manager. … 4)A winding-up order does not cancel a power of attorney nor does s 4 read together with ss 300 and 305 and the other provisions of the Act. Thus my answers to questions 1 to 3 would not be different if the debenture which provides for the appointment of a receiver and manager incorporates a power of attorney as we 24. Mengambilkira kedudukan MTB yang utama di sisi undang-undang terhadap unit-unit pangsapuri tersebut dan implikasi teruk yang bakal dialami oleh MTB sekiranya prosiding Saman Pemula ini diteruskan tanpa MTB dinamakan, hak untuk didengar perlu diberikan kepada MTB. Mahkamah ini membuat sorotan terhadap keputusan Mahkamah Persekutuan yang dikemukakan oleh peguam cara defendan-defendan, Anandarajan & Ors v Mahadevan [1971] 2 MLJ 8, bahawa – The right of a person to be heard before any order is made to his detriment is embodied in the maxim audi alteram partem. Speaking of what Lord Reid said in the House of Lords in Ridge v Baldwin [1964] AC 40 64 65 80 regarding the different categories of cases in which that Maxim should apply, Lord Upjohn delivering the judgment of the Privy Council in Durayappah v Fernando [1967] 2 AC 337 349 said: “In that case no attempt was made to give an exhaustive classification of the cases where the principle audi alteram partem should be applied. In their Lordships' opinion it would be wrong to do so. Outside well-known cases such as dismissal from office, deprivation of property and expulsion from clubs, there is a vast area where the principle can only be applied upon most general considerations. … Outside the well-known classes of cases, no general rule can be laid down as to the application of the general principle in addition to the language of the provision. In their Lordships' opinion there are three matters which must always be borne in mind when considering whether the principle should be applied or not. These three matters are: first, what is the nature of the property, the office held, status enjoyed or services to be performed by the complainant of injustice. Secondly, in what circumstances or upon what occasions is the person claiming to be entitled to exercise the measure of control entitled to intervene. Thirdly, when a right to intervene is proved, what sanctions in fact is the latter entitled to impose upon the other. It is only upon a consideration of all these matters that the question of the application of the principle can properly be determined.” 25. Selanjutnya Mahkamah ini meneliti penghujahan peguam cara terpelajar bagi defendan-defendan bahawa relif yang dituntut oleh plaintif di sini adalah kena mengena secara langsung dengan Specific Debenture (Kuchai East) bertarikh 20.4.2022. Dalam hal ini, tuntutan plaintif sememangnya tidak wajar dibenarkan. Isu 3: Sama ada Unit 46-12 dan Unit 15-15 tertakluk kepada gadaian menurut Debentur Spesifik bagi kepentingan Malaysian Trustee Berhad. 26. Pembacaan terhadap dokumen Specific Debenture (Kuchai East) menunjukkan dokumen ini adalah bukti konklusif bahawa MTB merupakan pemegang cagaran berkepentingan bagi projek Kuchai East. Klausa 1.1 Specific Debenture (Kuchai East) mentafsirkan Charged Assets sebagai – Mean the assets, properties, revenues, proceeds, undertakings and rights of the Chargor as set out in Appendix A herein including all property, monies added thereto by way of the retention investment and reinvestment of income, monies or otherwise and Charged Assets shall where the context so requires be a reference to any part of the Charged Assets; 27. Appendix X Charged Assets yang dilampirkan menunjukkan jadual yang mengandungi senarai unit-unit pangsapuri yang tidak terjual dan menjadi sebahagian daripada Kuchai East. Item 11 menyenaraikan Unit 15-15 pada harga RM478,000.00 manakala item 112 dalam Appendix A menyenaraikan Unit 46-12 dijual pada harga RM623,000.00. Kedua-dua harga tersebut merupakan harga yang ditetapkan oleh pemaju. 28. Jelas, aset yang digadaikan dan terangkum dalam Specific Debenture (Kuchai East) adalah termasuk kedua-dua unit yang menjadi hal perkara dalam tuntutan plaintif di sini. 29. Klausa 7 (g) Specific Debenture (Kuchai East) berkenaan dengan terma Representations and Waranties memperuntukkan bahawa – (g) Title: the Chargor is the legal and beneficial owner of the Charged Assets and none of the Charged Assets contain or shall contain any restriction on the assignment thereof by the Chargor or, where such restriction presently exits, the consent of the relevant counterparty has been obtained to this Assignment and Charge; 30. Jelas terserlah defendan pertama telah membuat akuan dan jaminan kepada MTB bahawa defendan pertama adalah pemilik sah dan berkepentingan bagi Unit 15-15 dan Unit 46-12. 31. Bahkan lebih dari itu, defendan pertama menyenaraikan Unit 15-15 dan Unit 46-12 sebagai unit yang tidak terjual dan sehingga menjadikan unit-unit tersebut terikat dengan Specific Debenture (Kuchai East). Jelas tidak dapat disangkal, Unit 15-15 dan Unit 46- 12 jelas tertakluk kepada Debentur Spesifik tersebut. 32. Selain daripada isu-isu di atas, pada hemat Mahkamah ini implikasi ke atas kedua-dua unit tersebut merupakan satu persoalan fakta yang tidak wajar diputuskan melalui prosiding Saman Pemula ini bagi tujuan meleraikan kemelut pertikaian antara plaintif dan defendan pertama dan dalam konteks hubungannya dengan perjanjian penyelesaian bersama Axisjaya Sdn Bhd. 33. Percubaan plaintif untuk mengaitkan Axisjaya Sdn Bhd dan defendan pertama dengan pemegangan saham Datuk Hoe bagi meletakkan perjanjian persetujuan sebagai instrumen yang mengikat pada hemat Mahkamah ini adalah tidak wajar dipertahankan dan bertentangan dengan prinsip privity of contract. 34. Dalam kes Kepong Prospecting Ltd v Ors v Schmidt [1968] 1 MLJ 170 Privy Council telah diputuskan bahawa doctrine privity of contract terpakai di Malaysia. Manakala dalam kes Bacom Enterprise Enterprise Sdn Bhd v Jong Chuk & Ors v Jong Chuk & Ors [2011] 5 MLJ 820 diputuskan bahawa – …This would of course be in line with the doctrine of privity. The doctrine is clear. A non-party cannot bring an action on the contract. A person not a party to a contract cannot enforce or rely for protection on its provisions. The rule of privity relates to who can enforce the contract. The doctrine of privity is clearly illustrated in Pollock & Mulla on Indian Contract & Specific Relief Acts (12th Ed), Vol1 at pp25–26; it reads:Two aspects of the Doctrine The doctrine has two aspects. The first aspect is that no one but the parties to the contract is entitled under it. Contracting parties may confer rights and benefits upon a third party in the form of promise to pay, or to perform a service, or a promise not to sue (at all or in circumstances covered by an exclusion or limitation clause). But the third party on whom such right or benefit is conferred by contract can neither sue under it nor can rely on defences based on the contract. The second aspect of the doctrine is that parties to a contract cannot impose liabilities on a third party. A person cannot be subject to the burden of a contact to which he is not a party. It is the counterpart of the proposition that a third party cannot acquire rights under a contract. This rule, for example, also bars a person from being bound by an exemption clause contained in a contract to which it is not a party, so that a contract between A and B cannot impose a liability on C. 35. Atas asas ini sememangnya relief yang dipohon dalam Saman Pemula tidak sewajarnya dibenar. G. KESIMPULAN 36. Tuntasnya, berdasarkan alasan-alasan yang diperihalkan di atas Mahkamah ini menolak Saman Pemula dengan kos. Bertarikh pada 31 Julai 2025.
