Untuk rekod, Mahkamah ini pada 18 Disember 2025 yang lalu telah membuat keputusan di akhir perbicaraan penuh dengan membenarkan tuntutan Plaintif terhadap Defendan bagi pembayaran wang berjumlah RM 35,553.18 dengan kos sebanyak RM 5,000.00. Tidak berpuas hati dengan keputusan Mahkamah ini, pihak Defendan telah memfailkan Notis Rayuan pada 30 Disember 2025.

Sebagai permulaan, Plaintif ialah sebuah sebuah firma guaman dan Defendan-Defendan adalah merupakan bekas klien yang telah mendapatkan khidmat guaman daripada Plaintif. Pihak Plaintif menyatakan telah dilantik Defendan-Defendan untuk mewakili pihak Defendan bagi tindakan yang difailkan di Mahkamah Tinggi Malaya di Kuala Lumpur, Guaman No. WA-22NCC-300 06/2019 dan di Mahkamah Rayuan Putrajaya, Rayuan No. W-02(NCC)(W)- 1438 07/2021. 07/01/2026 17:16:57 WA-A72NCvC-4758-11/2022 Kand. 236

Pihak Plaintif menyatakan bahawa terdapat beberapa invois bagi khidmat guaman telah dikeluarkan terhadap pihak Defendan dan telah dijelaskan oleh Defendan-Defendan. Namun demikian, Plaintif mendakwa terdapat satu Invois No. 220081 bertarikh 4 April 2022 yang masih belum dijelaskan sepenuhnya oleh Defendan-Defendan dimana terdapat sejumlah sebanyak RM35,553.18 masih tertunggak kepada Plaintif.

Defendan pula mendakwa bahawa pihak-pihak sebelum ini telah bersetuju secara lisan bahawa keseluruhan fi guaman adalah sebanyak RM 140,000.00 sahaja. Namun begitu fi guaman yang dicaj oleh pihak Plaintif telah melangkau jauh sehingga ke amaun RM 173,209.30.

Defendan-Defendan juga turut mempertikaikan fi guaman yang dicaj oleh Plaintif kerana ia dilakukan tanpa merujuk terlebih dahulu kepada Defendan-Defendan. Pihak Defendan juga menyatakan bahawa Defendan-Defendan tidak pernah bersetuju dengan kenaikan amaun caj fi guaman tersebut dan Plaintif tidak pernah menghantar invois yang lengkap kepada Defendan-Defendan untuk menjustifikasikan jumlah amaun yang dituntut tersebut.

Bagi menyokong versi Plaintif, seramai dua (2) orang saksi telah dipanggil iaitu: i. Encik Kenneth Koh Zhong Wey [Saksi Plaintif Pertama] – SP1 ii. Cik Amelia Marie Gasper [Saksi Plaintif Kedua] - SP2

Pihak Defendan pula memilih untuk tidak memanggil mana-mana saksi dan memohon untuk berhujah bahawa "no case to answer" terhadap tuntutan Plaintif setelah pihak Plaintif menutup kes pihak Plaintif.

Di dalam tindakan ini, terdapat hanya satu (1) isu utama sahaja yang dikemukakan oleh pihak-pihak sepertimana di dalam Lampiran 95 (Isu-Isu Untuk Dibicarakan) iaitu: i. sama ada Defendan-Defendan adalah bertanggungjawab untuk membayar kepada Plaintif tunggakan berjumlah RM35,553.18 daripada Invois No. 220081 bertarikh 4.4.2022. C. UNDANG-UNDANG YANG TERPAKAI

Seksyen 101 Akta Keterangan 1950 memperuntukkan: i) 101 Burden of proof

Whoever desires any court to give judgment as to any legal right or liability, dependent on the existence of facts which he asserts, must prove that those facts exist.

When a person is bound to prove the existence of any fact, it is said that the burden of proof lies on that person. [10] Seksyen 102 Akta Keterangan 1950 pula menyatakan: “102 On whom burden of proof lies The burden of proof in a suit or proceeding lies on that person who would fail if no evidence at all were given on either side. [11] Saya juga merujuk kepada otoriti di dalam kes Mahkamah Persekutuan iaitu “DR. SHANMUGANATHAN v. PERIASAMY S/O SITHAMBARAM PILLAI [1997] 2 CLJ 153” yang menyatakan: “Under s. 101, it is provided that whoever desires any court to give judgment as to any legal right or liability, dependent on the existence of facts which he asserts, must prove that those facts exist. Under s. the burden of proof lies on that person who would fail if no evidence at all were given on either side.” [12] Di dalam kes “GERARD JUDE TIMOTHY PEREIRA V. KASI A/L KL PALANIAPPAN [2017] CLJU 889”, Mahkamah Rayuan menyatakan: “As rightly pointed out by the learned trial judge himself, in a civil case the plaintiff bears both the legal and evidential burden of proof (see ss. 101 and 103 Evidence Act 1950 ). It is also trite law that legal burden is imposed by law and remains with the plaintiff throughout the trial and never shifts to the defendant. On the other hand, evidential burden moves to and fro between the plaintiff and the defendant depending on the state of the evidence introduced at any one stage of the trial, and unless and until the plaintiff discharges his evidential burden by establishing a prima facie case, there is no burden on the defendant to prove his defence, no matter how weak his defence might be.” [13] Selanjutnya, saya juga merujuk kepada penghakiman Mahkamah Persekutuan yang menyatakan kedudukan undang-undang berkaitan hujahan “no case to answer” iaitu di dalam kes “SYARIKAT KEMAJUAN TIMBERMINE SDN BHD v. KERAJAAN NEGERI KELANTAN DARUL NAIM [2015] 2 CLJ 1037” dimana dinyatakan: “[56]………. It was further submitted that the evidence led by the plaintiff must be assumed to be true when the defendant elected not to call any witnesses. On these submissions we have two observations to make. The first is that the principle on which an appellate court could interfere with findings of fact by the trial court is the plainly wrong test. And the second is that the burden of proof at all times is of course borne by the plaintiff to establish on the balance of probability the existence of a legally enforceable settlement agreement. In other words, it was upon the plaintiff itself, and certainly not the defendant, to discharge the burden of showing the settlement agreement had come into existence. It is for the plaintiff to prove its case and satisfy the court that its claim is well-founded before the court grants judgment on the claim”. [57] We therefore agree with the submission of learned counsel for the defendant to the effect that despite the fact the defendant did not call any witness and that even if the plaintiff's evidence is unopposed (and therefore presumed to be true), this does not automatically equate to that evidence satisfying the burden of proving the existence of the settlement agreement borne by the plaintiff, or mean that the burden of proving on the balance of probabilities no longer applies, or that a case to answer is automatically made out. The evidence adduced by the plaintiff must still be sufficient to prove the existence of the settlement agreement.” D) ANALISA DAN DAPATAN MAHKAMAH [14] Setelah meneliti keterangan saksi-saksi Plaintif, keterangan dokumentari serta hujahan bertulis yang telah difailkan oleh kedua-dua pihak, ringkasan dapatan dan penemuan telah dibuat oleh saya sepertimana di bawah. [15] Pertamanya, saya mendapati bahawa sememangnya Plaintif telah dilantik untuk mewakili ketiga-tiga Defendan di dalam tindakan ini. Dapatan ini adalah bersandarkan kepada: i) Penghakiman Mahkamah Tinggi Malaya di Kuala Lumpur bagi guaman nombor: WA-22NCC-300-06/2019 yang dieksibitkan di dalam Bahagian A, Ikatan Dokumen Bersama. Penghakiman ini menyatakan bahawa Defendan-Defendan adalah diwakili oleh Plaintif. ii) Perintah Mahkamah Rayuan, Putrajaya bagi Rayuan No. W- 02(NCC)(W)-1438-07/2021 yang dieksibitkan di dalam Bahagian A, Ikatan Dokumen Bersama. Perintah ini menyatakan bahawa Defendan-Defendan adalah diwakili oleh Plaintif. iii) Ikatan “Fakta-Fakta Defendan” (Lampiran 106) dan juga Ikatan “Fakta-Fakta Plaintif” (Lampiran 96) yang menyatakan secara bersama bahawa sekitar tahun 2019, Plaintif telah dilantik oleh Defendan-Defendan untuk menyediakan khidmat guaman kepada Defendan-Defendan dalam perkara-perkara berikut: a. Di Mahkamah Tinggi Kuala Lumpur, Guaman No. WA-22NCC-300-06/2019; dan b. Di Mahkamah Rayuan Putrajaya, Rayuan No. W- 02(NCC)(W)-1438-07/2021. [16] Pada hemat saya, tiada sebarang pertikaian perwakilan Plaintif terhadap ketiga-tiga Defendan. Maka, dengan wujudnya perwakilan tersebut, maka wujudlah hubungan kontrak bagi ketiga-tiga Defendan bersama Plaintif dimana balasan (consideration) kontrak adalah: i) perkhidmatan guaman oleh Plaintif; dan ii) bayaran yuran guaman oleh Defendan-Defendan. [17] Secara asasnya, bilamana perkhidmatan guaman telah diberikan dan tidak dipertikaikan, maka wujudnya kewajipan kontrak bagi Defendan-Defendan untuk membayar yuran guaman Plaintif. [18] Bertitik tolak dari premis pernyataan di atas, maka isu penting untuk diteliti dan diputuskan ialah adakah terdapat perjanjian yuran guaman (fee agreement) berkaitan kaedah kiraan dan jumlah yuran guaman yang telah dipersetujui oleh pihak-pihak? Jika ada, berapakah jumlah yuran guaman yang perlu dibayar oleh Defendan-Defendan kepada Plaintif? [19] Saya merujuk kepada penghakiman Mahkamah Persekutuan di dalam kes “LIM KIEN SENG & ANOR v. MANOHARAN KANDASAMY [2021] 2 CLJ 307” yang menghuraikan bahawa: “[7] The remuneration of an advocate and solicitor is an aspect of the legal profession that is wholly governed by Part VIII and Part IX of the LPA: Contentious business

Fee agreement By virtue of s. 116 of the LPA, an advocate and solicitor is entitled to remuneration for services rendered. In respect of contentious business, an advocate and solicitor may enter into a written fee agreement with a client. Such an agreement may provide for the amount and manner of payment.

(ii) Absence of fee agreement Where a written fee agreement has not been entered into, then an advocate and solicitor may recover his costs through the issuance of either a gross sum or detailed bills of costs as stipulated by s. 121 of the LPA. It is imperative for a bill of costs to be so delivered to entitle an advocate and solicitor to sue for the same: Section 124(1) of the LPA.” Sub-Isu Pertama: Adakah terdapat penjanjian bertulis (written fee agreement) berkaitan jumlah yuran guaman yang dipersetujui? [20] Pihak Plaintif menyatakan bahawa terdapat dua dokumen yang menyatakan kaedah dan jumlah bayaran bagi yuran guaman yang perlu dibayar kepada Plaintif oleh Defendan-Defendan sekiranya melantik Plaintif untuk mewakili Defendan-Defendan. [21] Dokumen-dokumen tersebut ialah: i) “Memorandum of Retainer” yang dilampirkan di dalam

sehingga 22 bagi tujuan perwakilan di Mahkamah Tinggi; 10 ii) E-mel Plaintif kepada kepada pihak Defendan bertarikh 26 Julai 2021 yang dilampirkan di dalam Ikatan Dokumen Plaintif Jilid 1 (Eksibit D) di muuka surat 32 bagi tujuan perwakilan di Mahkamah Rayuan. “Memorandum of Retainer”

Pihak Plaintif menyatakan bahawa “Memorandum of Retainer” adalah merupakan perjanjian bertulis diantara pihak-pihak yang telah memperincikan kaedah dan kiraan bayaran bagi tujuan perwakilan di Mahkamah Tinggi Malaya di Kuala Lumpur bagi guaman nombor: WA-22NCC-300-06/2019.

Plaintif menyatakan bahawa Plaintif telah melaksanakan tugasan dengan baik mewakili Defendan-Defendan dan telah mengeluarkan beberapa invois yuran guaman berdasarkan kaedah kiraan yang terdapat di dalam “Memorandum of Retainer” tersebut. Invois-invois yang dikeluarkan tersebut juga telah dibayar oleh Defendan-Defendan tanpa bantahan kecuali invois terakhir yang menjadi pertikaian ini.

Seksyen 116 Akta Profesion Undang-Undang 1976 menyatakan:

Subject to the provisions of any written law, an advocate and solicitor or a limited liability law partnership may make an agreement in writing with his or its client respecting the amount and manner of payment for the whole or any part of the advocate and solicitor's or the limited liability law partnership's costs in respect of contentious business done or to be done by such advocate and solicitor or such limited liability law partnership, either by a gross sum, or otherwise, and either at the same rate or at a greater or lesser rate than the rate at which the advocate and solicitor or the limited liability law partnership would otherwise be entitled to be remunerated.

Every such agreement shall be signed by the client and shall be subject to this Part. [25] Berdasarkan kepada peruntukan seksyen 116 ini, intipati utama untuk mewujudkan satu perjanjian bertulis adalah keperluan mandatori untuk perjanjian tersebut ditandatangan (signed) oleh seseorang klien. Penggunaan frasa “shall be signed” telah mewujudkan keperluan mandatori tersebut. [26] Kedudukan ini telah diperjelaskan melalui penghakiman Mahkamah Rayuan di dalam kes “BORNEO SYNERGY (M) SDN BHD v. SULAIMAN & TAYE [2019] CLJU 57” yang mengesahkan keputusan dan kesimpulan yang dibuat oleh Mahkamah Tinggi bahawa: “1. There was no written agreement between the parties in regard to the amount of legal costs pursuant to s. 116 of the LPA. The wordings of sub-s. 116(1) of the LPA are clear and unambiguous that an advocate and solicitor 'may' make an agreement in writing with the client with regard to the legal fees. The word 'may' in s. 116(1) should be given its ordinary and natural meaning which is, it is permissive and not mandatory unless it can be shown otherwise. There was nothing to indicate or was there basis to conclude that the word 'may' in s. 116(1) should be read as 'shall' or 'must'.” [27] Di dalam kes di hadapan saya pada hari ini, saya telah meneliti “Memorandum of Retainer” tersebut dan mendapati tiada sebarang tandatangan oleh mana-mana Defendan pada memorandum tersebut. Di dalam memorandum yang disediakan oleh Plaintif tersebut, klausa 8 telah mensyaratkan bahawa sekiranya Defendan-Defendan bersetuju dengan terma dan syarat di dalam ““Memorandum of Retainer” tersebut, maka pihak Defendan perlulah menurunkan tandatangan pada dokumen memorandum tersebut. [28] Malangnya, tiada tandatangan oleh mana-mana Defendan di dalam tindakan ini pada “Memorandum of Retainer” tersebut. Saksi Plaintif Pertama (SP-1) semasa disoal balas menyatakan: NNR - I refer to page 22. JUDGE - Page? NNR - Page 22, Bundle B. JUDGE - Bundle? NNR - B. The acceptance letter here is not signed, agree? KK - I agree. NNR - Do you have any other documents to show that the acceptance was 32 signed by the Defendants? KK - in this format, no, I don’t. NNR - It states here this retainer will take effect when you have returned and signed, returned the signed copy. I put to you that there’s no record before this Court that the retainer was signed by all three Defendants. Agree or disagree? KK - I agree. NNR - I put to you that this retainer cannot take effect because there’s no acceptance from all three Defendants. Agree or disagree? KK – I disagree. [29] Maka, kesimpulan yang dibuat oleh Mahkamah ialah “Memorandum of Retainer” tersebut adalah bukannya suatu perjanjian bertulis yang boleh mengikat pihak-pihak di dalam tindakan ini memandangkan tiada tandatangan oleh Defendan-Defendan pada dokumen tersebut. [30] Dalam apa jua keadaan, “Memorandum of Retainer” tersebut telah dilampirkan di dalam dokumen Bahagian C, Ikatan Dokumen Bersama di muka surat 19 sehingga 22. Mahkamah ini telah meneliti semula Nota Keterangan dan rakaman RVT dan mendapati “Memorandum of Retainer” tersebut tidak pernah ditandakan sebagai Eksibit setelah ia dilampirkan sebagai Dokumen di

Oleh itu, kedudukan undang-undang adalah jelas dimana sekiranya dokumen di bahagian C tidak dikemukakan dan ditandakan sebagai dokumen eksibit di Mahkamah, maka dokumen tersebut tidak boleh diterima sebagai eksibit oleh Mahkamah ini.

Saya hanya membenarkan dan menerima kemasukan dokumen e-mel dan perbualan “Whatsapp” serta Ikatan Dokumen Plaintif Jilid 1, Jilid 2 dan Jilid 3 sebagai eksibit. D, D1 dan D2 di mahkamah setelah hujahan panjang lebar berkaitan perkara tersebut. Namun, semakan saya mendapati “Memorandum of Retainer” tersebut tidak pernah ditandakan sebagai Eksibit.

Namun, harus diingat bahawa dalam apa jua keadaan, Memorandum of Retainer” tersebut hanyalah bagi tujuan perwakilan di Mahkamah Tinggi Malaya di Kuala Lumpur sahaja. Tuntutan Plaintif pada hari ini adalah bagi menuntut bayaran bagi nombor Invois No. 220081 bertarikh 4 April 2022 berjumlah RM39.419.28 (sepertimana dilampirkan di dalam muka surat 27, Ikatan Dokumen Plaintif Jilid 3 – Eksibit D2) yang telah dikeluarkan oleh Plaintif kepada Defendan-Defendan bagi khidmat-khidmat guaman yang telah dibekalkan oleh Plaintif kepada Defendan-Defendan di Mahkamah Rayuan, dan bukannya di Mahkamah Tinggi Malaya di Kuala Lumpur.

Berdasarkan kepada keterangan SP-1, adalah jelas menunjukkan bahawa “Memorandum of Retainer” bertarikh 9 Julai 2019 tersebut hanyalah untuk perwakilan dan kaedah bayaran bagi tindakan guaman di Mahkamah Tinggi Malaya di Kuala Lumpur sahaja bagi guaman nombor: WA-22NCC-300- 06/2019 dan beberapa invois yang dikeluarkan bagi tuntutan perwakilan di Mahkamah Tinggi telah dijelaskan oleh pihak Defendan.

Semua bayaran bagi invois-invois terdahulu telah dibuat bayarannya oleh pihak Defendan-Defendan dengan tanpa sebarang bantahan. Jadi, untuk menyatakan bantahan pada peringkat ini adalah sesuatu pemikiran terkemudian oleh pihak Defendan. Baki invois yang belum dijelaskan hanyalah untuk yuran guaman di Mahkamah Rayuan melalui nombor invois: 220081. Sub-Isu Kedua: Adakah terdapat penjanjian lain berkaitan jumlah yuran guaman yang dipersetujui?

Sepertimana yang dinyatakan di atas bahawa tidak semestinya sesuatu perjanjian yang dinyatakan di dalam seksyen 116 Akta Profesion Undang-Undang 1976 mestilah dibuat secara bertulis. Perjanjian tersebut boleh berlaku dan memadai sekiranya perjanjian tersebut adalah secara lisan atau terdapat tindakan atau pengakuan afirmatif diterima daripada pihak-pihak terlibat.

Untuk tujuan rekod, saya ingin menegaskan dan merekodkan sekali lagi keputusan saya sebelum ini untuk membenarkan: i) perbualan “Whatsapp” di muka surat 36 sehingga 75 di dalam Ikatan Dokumen Plaintif Jilid 3 (Eksibit D2) diterima sebagai eksibit Mahkamah; ii) Ikatan Dokumen Plaintif Jilid 1 sebagai Eksbit D; iii) Ikatan Dokumen Plaintif Jilid 2 sebagai Eksbit D1; iv) Ikatan Dokumen Plaintif Jilid 3 sebagai Eksbit D2.

Sebagai permulaan, saya merujuk kepada Writ Saman Terpinda dan juga perenggan 8.1 Pernyataan Tuntutan Terpinda Plaintif yang menyatakan asas tuntutan Plaintif adalah untuk menuntut bayaran bagi nombor Invois No. 220081 bertarikh 4 April 2022 berjumlah RM39.419.28 yang telah dikeluarkan oleh Plaintif kepada Defendan-Defendan bagi khidmat-khidmat guaman di Mahkamah Rayuan.

Jumlah dinyatakan di atas telah berkurangan menjadi RM 35,553.18 sahaja. Ini kerana, Mahkamah Rayuan telah membenatkan kos sebanyak RM 60,068.94 kepada pihak Defendan-Defendan setelah rayuan perayu ditolak oleh Mahkamah Rayuan. Daripada jumlah RM 60,068.94 tersebut, sejumlah RM 3,866.10 telah digunakan untuk membayar sebahagian invois no. 220081 di atas dan baki kos tersebut telah digunakan untuk membayar baki yuran guaman tertunggak yang lain. Ini menjadikan baki akhir invois tertunggak bagi nombor invois 220081 adalah berbaki sejumlah RM 35,553.18 (iaitu jumlah tuntutan di dalam tindakan ini). “E-mel Plaintif kepada kepada pihak Defendan”

Plaintif menyatakan bahawa sebut harga bagi perwakilan Plaintif terhadap Defendan-Defendan bagi rayuan di Mahkamah Rayuan adalah berdasarkan kepada e-mel Plaintif kepada kepada pihak Defendan bertarikh 26 Julai 2021 yang menyenaraikan kaedah dan harga yuran guaman bagi perwakilan di peringkat Mahkamah Rayuan, dan bukannya “Memorandum of Retainer”.

Pada hemat mahkamah, e-mel bertarikh 26 Julai 2021 ini adalah asas perjanjian selaras seksyen 116 Akta tersebut berdasarkan kepada alasan sepertimana di bawah.

Di dalam tindakan di hadapan mahkamah ini, SP-1 semasa disoal balas menyatakan bahawa: NNR - Do you have records to show from the Plaintiff’s, do you have records from the Plaintiff to show this document was in fact served upon the Defendants? KK - In July 2019, no I don’t. But it was subsequently sent. NNR - Can you show the document? KK - I can. It is in the emails where it was sent to the Defendant. Tuan, if I could have some time to just look through the emails just real quick. I do believe it was sent out. I cannot now confirm whether there is that email. But I can confirm that there is a WhatsApp. Tuan, if I can refer to Bundle D2 at page 70. In the middle of the page. If we can look at from 10:45AM. That is where I started to speak with En Azmi. “Media omitted” at 10:45AM. This was actually the letter of demand where I then followed that up with a message to En Azmi, “Hi En Azmi, I look forward to your payment soonest”. He then replies at 11:15AM, “Hi Mr Kenneth, I’m aware of it, I am working hard in chasing 2 of my clients to get the payment after Court garnish order received 15 recently on the 2 clients... as for the statement forwarded to me, I need 18 to go thru with NKPT as I’m not aware of such amount... the figure in my mind was far below after briefed by Rachel before she left .. maybe you can the time for me to come over... thanks very much”. I then stated at 11:16AM and explained that the outstanding amount is for the Court of Appeal proceedings as well, not only the High Court because there was a lot outstanding at that point. At 11:20AM and at 11:21AM, that is where I had actually sent the memorandum of retainer. Although it is stated here that media is omitted, I’m happy to show this on my phone. At 11:22AM, this is confirmed that where I said, “Please feel free to verify the fees quoted before work commenced, and cross check against the invoices we issued, and let me know if there is anything you don't understand so I can explain to you”. No reply from him. And on the 24th of June, 06:28PM, I texted him again, “Hi En Azmi. Have you managed to go through the fee quotes and cross check them against my invoices?”. So, this was where I personally sent the retainer so that he actually knew what the quote was. He had never disputed, Tuan, that he previously never received this document ever.”. NNR - Now I refer you to page 32 of Bundle D. KK - Yes. - So, in this page 32, you referred to page 32 for the quote dated 26th, e-mail dated 26/07/2021, correct? KK Yes. NNR - I put to you that this email is not sent by you. Agree or disagree? KK - I agree. But I received it. I was copied in the email. It was sent on my instruction. NNR - In the last line before “Thank you”, it is stated here, “Do let us know if 23 you’re agreeable to the fee quote above”. KK - Yes. NNR - Was there a reply or an agreement given by the Defendants to the fees quoted? KK - Not in the email but I did speak to En Azmi and there may be something in the WhatsApp conversation as well that shows that he accepted the fee quote, Tuan. It was only after we received the confirmation that we proceeded to act. NNR - Can you show the Court the confirmation? The Plaintiff’s solicitor can assist if the witness, if there’s, the documents are there. KK - I can confirm that I spoke with En Azmi where he agreed to this and I can 2 also show a WhatsApp conversation where he was made aware of this. NNR - Can you show which page? KK - Never disputed. Yes, I refer to Bundle D2. Firstly, Tuan, the email was of course sent to the email address of the 1st Defendant that was 20 being operated by the 2nd Defendant. And on the page, on page 57 of Bundle D2, on 20/09/2021, time stamp 11:16AM, this is where I informed the 2nd Defendant, “Hi En. Azmi, we have just issued our final bill for the High Court matter and our first bill for the Court of Appeal matter. Hoping you can arrange for some payment, because the previous bill is also still outstanding by more than 50k”. And if we look at the 2nd Defendant’s reply at 01:37PM, Tuan, “Azmi Nuro Dagangan: Hi Mr Kenneth, Sorry for the late reply I was in the meeting. Your effort is duly noted. I am in the midst of selling off some of my assets to facilitate the need to use of funds for various purposes including your invoices. Things have been really really slow...”. He asked for time essentially. He was very well aware, Tuan, of what the charges were and I had also spoken to him multiple times over phone call.”

Berdasarkan kepada keterangan SP-1, adalah jelas bahawa Defendan-Defendan yang diwakili perhubungan oleh Defendan Kedua telah dimaklumkan dan diserahkan dengan sebut harga bagi perwakilan di Mahkamah Rayuan. Tiada bantahan atau maklum balas diterima berkaitan yuran guaman yang akan dikenakan tersebut.

Rayuan di peringkat Mahkamah Rayuan juga telah dilupuskan dimana rayuan perayu telah ditolak. Pastinya, semua kertas kausa dan arahan telah diberikan oleh Defendan-Defendan sebelum Plaintif bertindak meneruskan perwakilan rayuan di Mahkamah Rayuan.

Keadaan ini adalah jelas menunjukkan bahawa terma lantikan dan caj bayaran adalah tidak dibantah oleh Defendan-Defendan. Jika ada bantahan dan tidak dipersetujui, pastinya perwakilan Plaintif tidak akan diteruskan.

Selanjutnya, SP-1 juga menyatakan bahawa terdapat persetujuan lisan oleh Defendan Kedua yang mewakili Defendan-Defendan berkaitan caj yuran guaman yang akan dikenakan bagi perwakilan Plaintif di Mahkamah Rayuan, berdasarkan kepada sebut harga melalui e-mel bertarikh 26 Julai 2021 tersebut. Keterangan ini tidak dicabar dan Defendan juga memilih untuk tidak memanggil mana-mana saksi untuk mencabar versi Plaintif ini.

Bahkan, terdapat e-mel daripada pihak Defendan Kedua bagi pihak Defendan Pertama yang dieksibitkan dimuka surat 18, Bahagian B, Ikatan Dokumen Bersama kepada Cik Amelia Gasper (Saksi Plaintif Kedua-Sp2) bertarikh 1 Disember 2022 dengan menggunakan tajuk e-mel “RE: WA-A72NCvC-4758-11/2022: Messrs Nadzarin Kuok Puthucheary & Tan v Nuro Dagangan”.

Antara kandungan e-mel berkenaan adalah Defendan Kedua menyatakan pengakuan keberhutangan kepada Plaintif dan mencadangkan pembayaran semula secara bersturuktur bagi menyelesaikan tunggakan hutang terhadap Plaintif.

Saya telah mengambil panduan daripada penghakiman di dalam kes “SKRINE (CLAIMING AS A FIRM) v. NS WATER CONSORTIUM SDN BHD [2021] 4 CLJ 571” dimana Mahkamah Tinggi menyatakan: “[25] Skrine's position was that the agreement between it and the defendant with respect to the terms of the appointment of En Mubashir was constituted by emails that had passed between them. It is well-established that an agreement in writing can be contained in letters: see Chamberlain v. Boodle & King[, per Denning MR. ………………………. [30] It was not in dispute that the defendant proceeded with the engagement of En Mubashir on this basis. Not only did the defendant pay the 12 bills but it had also never raised any query (much less objection) on the bills until after En Mubashir's engagement was terminated.

In the course of the engagement, there were times when some of the bills became overdue. The contemporaneous documentary evidence (exhibited at MBM-36 and MBM-37) showed that repeated assurances were given to Skrine by a representative of the defendant, Ms Choo, that the payments would be attended to. There is no doubt in my mind that, had the defendant at any time indicated that it did not agree to be billed on a time cost basis or that it would not be paying the outstanding invoices, En Mubashir would not have proceeded to continue to discharge further work in respect of the engagement.

In my judgment, taking into account the totality of the circumstances of the case, it was clear that the defendant agreed to be billed on a time cost basis. Furthermore, the circumstances were such that it would not 23 lie in the mouth of the defendant to deny the practice of billing on a time cost basis, because the defendant had every opportunity to query, dispute or deny the liability for the bills on each occasion after the letters of confirmation of fees were issued and before the relevant bill was issued but did not do so. The email from Dato' Dr Rahiman on 20 September 2013 would be sufficient to connote an acceptance from the defendant as to the terms of engagement proposed by En Mubashir. In addition, the course of conduct adopted by the defendant throughout the engagement meant that it would be iniquitous to allow the defendant to deny that it had agreed to be billed on a time cost basis.”

Berdasarkan analisa dan dapatan di atas, maka disimpulkan bahawa terdapat perjanjian selaras seksyen 116 Akta yang mengikat pihak-pihak berkaitan jumlah yuran guaman yang dipersetujui di antara pihak-pihak khususnya berdasarkan kepada e-mel Plaintif kepada kepada pihak Defendan bertarikh 26 Julai 2021 yang menyenaraikan kaedah dan harga yuran guaman bagi perwakilan di peringkat Mahkamah Rayuan.

Tiada sebarang keterangan yang menunjukkan bahawa kaedah dan sebut harga di dalam e-mel ini pernah dibantah oleh Defendan-Defendan. Bahkan, terdapat keterangan kukuh sebaliknya yang menunjukkan Plaintif bertindak mewakili Defendan-Defendan di Mahkamah Rayuan.

Sekiranya tidak dipersetujui kaedah dan jumlah bayaran tersebut, maka pastinya Plaintif tidak akan dilantik untuk mewakili Defendan-Defendan. Tambahan pula, jelas semua tindakan, perbualan dan tingkahlaku pihak Defendan adalah menunjukkan indikasi afirmatif dan tiada sebarang bantahan kepada kaedah dan caj yang bakal dikenakan sepertimana yang dinyatakan di dalam e-mel bertarikh 26 Julai 2021 tersebut. “Hujahan Peguam Defendan-Defendan”

Saya selanjutnya merujuk kepada Hujahan Defendan dimana Defendan hanya menghujahkan kepada dua (2) teras hujahan iaitu: i) tuntutan Plaintif ini adalah pramatang dan tiada kausa tindakan yang munasabah memandangkan tiada bil kos yang diserahkan oleh Plaintif kepada Defendan-Defendan selaras Akta Profesion Undang-Undang 1976; dan ii) Plaintif gagal membuktikan tuntutannya memandangkan tiada bil kos yang diserahkan oleh Plaintif kepada Defendan-Defendan untuk menuntut sejumlah RM 35,553.18.

Pada hemat saya, pendirian pihak Defendan bahawa tuntutan Plaintif ini adalah pramatang dan tiada kausa tindakan yang munasabah memandangkan tiada bil kos yang diserahkan oleh Plaintif kepada Defendan-Defendan yang menyatakan terdapat tunggakan RM35,553.18 selaras dengan Seksyen 124 Akta Profesion Undang-Undang 1976 adalah tidak dapat diterima oleh Mahkamah ini.

Sepertimana panduan yang saya ambil daripada penghakiman di dalam kes LIM KIEN SENG (supra) yang saya nyatakan di atas, tuntutan Plaintif ini adalah berdasarkan kepada perlanggaran kontrak atau perjanjian yang mana telah dibuat dapatan oleh Mahkamah ini bahawa wujudnya perjanjian diantara pihak-pihak selaras seksyen 116 Akta tersebut.

Keperluan dan pemakaian berkaitan Bil Kos hanya perlu sekiranya tiada perjanjian antara pihak-pihak berkaitan kadar yuran guaman selaras Bahagian IX Akta tersebut.

Mahkamah ini setelah meneliti keseluruhan pliding, keterangan saksi-saksi dan bukti-bukti yang dikemukakan di hadapan mahkamah ini termasuk hujahan-hujahan bertulis oleh kedua-dua pihak, maka Mahkamah ini di atas imbangan kebarangkalian, memutuskan bahawa Plaintif telah berjaya membuktikan tuntutannya terhadap Defendan-Defendan.

Oleh yang demikian, adalah diputuskan bahawa: i) tuntutan Plaintif terhadap Defendan-Defendan untuk pembayaran wang sebanyak RM 35,553.18 adalah dibenarkan; dan ii) kos sebanyak RM 5,000.00 perlu dibayar oleh Defendan-Defendan kepada Plaintif secara bersama dan berasingan.
