Jadual A dan tiada yang selainnya. Oleh itu, alasan Plaintif bahawa kelewatan bayaran ansuran ini adalah berpunca dari Defendan yang lewat menukar syarat tersebut dan dengan itu Defendan adalah tidak layak menuntut faedah di bawah Fasal 7 Perjanjian adalah sama sekali bertentangan dengan intipati Perjanjian yang telahpun dimasukinya dengan Defendan. 55. Mahkamah merujuk prinsip di dalam kes CHAI THEN SONG v. MALAYAN UNITED FINANCE BHD.HIGH COURT, JOHOR BAHRU [1993] 2 CLJ 640, dimana YA Dato' James Foong (ketika itu) memutuskan berikut: - In this case, the appellant never denied that he executed the Deed of Guarantee nor, disputed to the terms therein as not being the terms agreed upon by him. In fact he admitted expressly that he signed the Deed of Guarantee and, knew that it was a Deed of Guarantee. He did so to "convince" the 1st defendant to buy the tractor. The terms and conditions in the Hire Purchase Agreement was never disputed by the appellant to be incorrect or, otherwise than those tendered by the appellant himself on behalf of the 1st defendant when he applied for such facilities to the respondent. Both the hire purchase agreement and the Deed of Guarantee were executed at the same time and, there was no dispute by the 1st defendant on the contents of the Hire Purchase Agreement. Though the relevant particulars of the Hire Purchase Agreement was then left blank, this document was at the material time part and parcel of the Deed of Guarantee and, if the appellant permitted others to fill up the particulars of both these documents he has to accept full responsibilities for such actions. To sum up on this point, it is good to repeat Lord Peason's judgment in Gallie v. Lee of an example of a busy managing director who has a pile of documents to be signed in a few minutes before the next meeting and, his secretary arranges them for maximum speed with only the spaces for signature exposed, and the managing director signs them "blind". To this Lord Peason comments that he may be exercising a wise economy of time and energy: but the person who signs the documents in this way ought to be held bound by them, and ought not be entitled to avoid liability so as to shift the burden of loss on an innocent third party. The whole object of having documents signed by him is that he makes them his documents and takes responsibility for them. 56. Dan menggunapakai prinsip kes di atas Mahkamah ini mendapati bahawa Plaintif dan Defendan masing-masing adalah terikat dengan keseluruhan terma di dalam Perjanjian P3A-B ini yang termasuklah juga Jadual A sebagaimana yang disebut di Fasal 22 Perjanjian P3A-C. Oleh itu, alasan kelewatan pembayaran ansuran oleh Plaintif/ si Pembeli kepada Defendan/ si Penjual kerana CCC lewat diperolehi adalah tidak berbangkit kerana Fasal 7 dengan jelas memperuntukkan remedi otomatik kepada Defendan untuk mengenakan faedah terhadap ansuran lewat dibayar setelah tamat tempoh 14 hari dengan kadar 10% dikenakan kepada si pembeli/Plaintif untuk diselesaikannya. 57. Selanjutnya, Mahkamah juga mendapati bahawa di sepanjang perbicaraan dan melalui keterangan saksi-saksi Plaintif dan soal balas terhadap saksi Defendan, Plaintif tidak pernah mencabar kaedah pengiraan faedah lewat bayar yang telah diplidkan (di ms 14-15 Ikatan A/ Ikatan Pliding) dan dibutirkan oleh Defendan di dalam keterangannya (merujuk ms 8-11 PSD-1). Langsung tidak ada cabaran/ challenge dibuat oleh Plaintif terhadap perincian dan butiran pengiraan yang menjumlahkan amaun RM41,179.02 tersebut. Yang dicabar/ dibangkitkan Plaintif hanyalah jumlah tersebut tidak wajar dituntut kerana dikatakannya berpunca dari kegagalan Defendan menukar syarat sehingga menyebabkan banker tidak dapat disburse duit dalam tempoh masa sepatutnya. 58. Mahkamah ini menggunapakai prinsip Mahkamah Rayuan di dalam kes KARUN KLASIK SDN BHD v. TENAGA NASIONAL BHD [2023] 3 CLJ 175, [2022] 1 LNS 3077, petikan relevan diperturunkan seperti berikut: - [30] The fact of there having been a substantial quantity of the appellant's products in the cold rooms was supported by its conduct surrounding and following the disconnection of electricity supply. It was in evidence that the appellant repeatedly and desperately informed TNB that its processed prawns in the cold rooms would go to waste if electricity supply was to be disrupted. There were also pleas for the supply to be restored to avoid substantial loss. [31] Of significance in respect of DW4's evidence was that his statement that the appellant's products worth almost RM5 million had been lost was not challenged in cross-examination. On this point of failure to cross-examine DW4 on facts material to the appellant's counterclaim, our attention was drawn to the off-quoted case of The United States Of America v. Shearn Delamore & Co And Drew & Napier; Joseph Lee Henn Shen (Third Party) [2007] 4 CLJ 154; [2007] 8 MLJ 654, where it was held that: The party who fails to cross-examine and to take his stand in the witness box surrenders his right to require the court to evaluate the evidence to determine the truth, as the court would have to treat the oral evidence of his opponent as the whole truth. [32] We were asked to bear in mind that TNB's pleaded defence as to the quantum of the appellant's claims is only one of bare denial. No facts were pleaded by TNB in support of its defence. Neither did TNB plead mitigation or remoteness of damage or any other specific defences and/or facts in support of the same. [33] We, therefore, agree with the appellant's contention that the existence of products in the appellants' cold rooms had become a non-issue and not open to dispute. Hence, it followed that the LJ had wrongly held that no witness testified as to the existence of the said products in the cold rooms in view of DW4's unequivocal testimony” 59. Dan mengaplikasi prinsip sebagaimana kes di atas, Mahkamah ini memutuskan bahawa jumlah faedah bagi lewat bayaran ansuran oleh Plaintif kepada Defendan adalah sepertimana kaedah pengiraan dalam keterangan Defendan/ SD1 yang langsung tidak dicabar butiran dan perinciannya oleh Plainif sepanjang perbicaraan iaitu berjumlah RM41,179.02 sahaja. 60. Mahkamah ini juga bersetuju dengan Defendan yang merujuk kepada Fasal 7 Perjanjian P3A-C dalam tuntutan balasnya ini yang menuntut khusus kepada faedah bagi kelewatan pembayaran ansuran yang bermula setelah tamat tempoh empat belas (14) hari tidak berbayar sebagaimana Jadual A, dengan dikenakan 10% setahun dikira hari ke hari sehinggalah pembayaran sepenuhnya. 61. Faedah ke atas pembayaran lewat selaras Fasal 7 Perjanjian yang dibenarkan oleh Mahkamah ini bagi setiap Lot terlibat adalah seperti berikut: a. Bagi Lot 4140/ Perjanjian P3A; Harga jual beli: RM350,000.00 Bayaran telah diterima: RM50,000.00 Tuntutan Kemajuan Kerja yang disahkan oleh Arkitek Bertauliah bertarikh 20.11.2016: 85% =RM247,500.00 Tarikh sepatutnya bayaran dibuat: 5.12.2016 (14 hari) Tarikh pembayaran daripada CIMB: 7.6.2017 =RM176,941.38 Jumlah hari lewat: 183 hari RM247,500.00x 10%= RM24,750.00 / 365 hari (Faedah sehari RM67.80 x 183 hari) =RM12,407.40 b. RM247,500.00- RM176,941.38 =RM70,558.62 Tarikh pembayaran diterima: 9.11.2017 Kelewatan 8.6.2017 hingga 9.11.2017=153 hari RM 70.558.62 x10%= RM7,055.80/365 hari (Faedah sehari RM19.30 x 153 hari) = RM 2,952.90 Jumlah Faedah lewat bayar bagi Lot 4140 adalah RM15,360.30 c. Bagi Lot 4141/ Perjanjian P3B; Harga jual beli: RM350,000.00 Bayaran telah diterima: RM50,000.00 Tuntutan Kemajuan Kerja yang disahkan oleh Arkitek Bertauliah: 90% bertarikh 25.5.2017=RM265,000.00 Tarikh sepatutnya bayaran dibuat: 16.6.2017 (14 hari) Tarikh pembayaran daripada CIMB: 9.11.2017 Jumlah hari lewat: 152 hari RM265,000.00x 10%= RM26,500 / 365 hari (Faedah sehari RM72.60 x 152 hari) =RM11,035.20 Jumlah Faedah lewat bayar bagi Lot 4141 adalah RM11,035.20 d. Bagi Lot 4142 / Perjanjian P3C Harga jual beli: RM450,000.00 Bayaran telah diterima: RM50,000.00 Tuntutan Kemajuan Kerja yang disahkan oleh Arkitek Bertauliah: 90% bertarikh 25.5.2017=RM355,000.00 Tarikh sepatutnya bayaran dibuat: 16.6.2017 (14 hari) Tarikh pembayaran daripada CIMB: 9.11.2017 Jumlah hari lewat: 152 hari RM355,000.00x 10%= RM35,500 / 365 hari (Faedah sehari RM97.26 x 152 hari) =RM14,783.52 Jumlah Faedah lewat bayar bagi Lot 4142 adalah RM14,783.52 62. Oleh itu, jumlah keseluruhan faedah lewat bayar bagi ketiga-tiga lot adalah RM41,179.02 (RM15,360.30+ RM11,035.20 +RM14,783.52) KESIMPULAN 63. Tuntutan Plaintif dan Tuntutan Balas oleh Defendan ini adalah berbangkit daripada Perjanjian P3A-C yang dimasuki kedua-dua pihak bagi tiga (3) Lot Bangunan Kedai yang pada masa Perjanjian P3A-C dimeterai tersebut dua (2) daripada tiga (3) Lot terlibat iaitu bagi Perjanjian P3B dan P3C masih lagi berstatus rumah kediaman dan belum ditukar syaratnya kepada lot Bangunan Kedai. 64. Keterangan saksi Plaintif sendiri menyokong keterangan Defendan yang mengesahkan bahawa pengeluaran CCC/ Perakuan Siap dan Pematuhan adalah di luar kuasa Defendan dan tertakluk kepada Pihak Berkuasa berkenaan dan peruntukan di dalam Perjanjian P3A-C dengan jelas telah memperuntukkan obligasi untuk perolehan CCC ini terletak kepada Defendan / si Penjual. 65. Tidak ada peruntukan yang membenarkan si Pembeli/ Plaintif lewat bayar ansuran purchase price/ jual beli kepada Defendan/ si Penjual bertentangan dengan Jadual A (yang menurut Fasal 22 adalah sebahagian daripada Perjanjian) atas alasan CCC belum/ lewat diperolehi Defendan. Oleh itu, kelewatan pembayaran ansuran perlu diremedi selaras Fasal 7 Perjanjian yang telah dimasuki pihak-pihak. 66. Plaintif/ si pembeli tidak mencabar perincian pengiraan faedah lewat bayar ansuran selaras Fasal 7 oleh Defendan dan dengan demikian adalah terikat untuk membayar sebagaimana pengiraan tersebut yang berjumlah RM41,179.02 sahaja.
