(2)

Where one or more transactions referred to in subsection 103(1)

are effected, a request for a review in accordance with the First

Schedule is the sole means by which the amount of the consideration received or receivable in such transaction or series of transactions or the allocation and application of that consideration may be questioned, and no court may entertain any action, suit or proceeding seeking to question the amount or the allocation and application of the consideration.

(2A)

Where the Corporation makes a transfer referred to in paragraph 99(1)(ga) or extinguishes the rights referred to in paragraph 128B(7)(b), a request for a review in accordance with the

First Schedule is the sole means by which the amount of the consideration received or receivable in such transfer or the amount of the compensation received or receivable in respect of the rights so extinguished may be questioned, and no court may entertain any action, suit or proceeding seeking to question the amount of the consideration or compensation.

(2B)

A transaction or series of transactions referred to in subsection 103(1) or a transfer referred to in paragraph 99(1)(ga) or an extinguishment of the rights referred to in paragraph 128B(7)(b) shall take effect despite any request for or any decision made in respect of the review under subsections (2) and (2A).

(3)

Any decision of the Assessor Committee made under the First

Schedule shall be final and binding.

(4)

Until the Corporation prescribes rules under subsection (5), the

Assessor Committee may determine its own procedure and conduct for its proceedings.

(5)

The Corporation may prescribe rules relating to the procedure and conduct of the proceedings of or before the Assessor Committee.
