Section 19

The Chief Executive Officer shall be responsible for the day-to-day administration of the business and affairs of the

Corporation.

The Chief Executive Officer shall be answerable and accountable to the Board for the exercise of his powers and the performance of his duties.

In the absence or incapacity of the Chief Executive Officer, the

Board may authorize an officer of the Corporation to perform the duties, functions and responsibilities of the Chief Executive Officer.
