Preamble
- PADA menjalankan kuasa yang diberikan oleh seksyen 613 Akta Syarikat 2016 [Akta 777], Menteri membuat peraturan-peraturan yang berikut: Nama dan permulaan kuat kuasa
Seksyen 2
Peraturan-Peraturan Syarikat 2017 [P.U. (A) 37/ 2017] dipinda dalam Jadual—
(a)
dengan memasukkan selepas butiran 32 dan butir-butir yang berhubungan dengannya butiran dan butir-butir yang berikut:

Penyerahsimpanan notis atas pertambahan modal syer syarikat asing di bawah subseksyen 567(3)
Akta
Perbezaan, jika ada, antara fi yang ditetapkan dibayar apabila didaftarkan dengan fi yang ditetapkan yang kena dibayar atas pertambahan modal syer di bawah ruang

butiran 32”;
(b)
berhubung dengan butiran 43, dalam ruang (2), dengan menggantikan perkataan “berhubungan dengan syarikat atau perbadanan” dengan perkataan
“diserah simpan di bawah Akta”;

berhubung dengan butiran 45, dalam ruang (2), dengan menggantikan perkataan
“yang berhubungan dengan syarikat”
dengan perkataan
“di bawah Akta”;
(d)
berhubung dengan butiran 47, dalam ruang (2), dengan memasukkan selepas perkataan “syarikat" perkataan “, pemegang saham, pengarah, setiausaha, juruaudit atau penyelesai mana-mana syarikat”; dan
(e)
berhubung dengan butiran 48, dalam ruang (2), dengan memasukkan selepas perkataan “dokumen" perkataan “atau permohonan”.

COMPANIES (AMENDMENT) REGULATIONS 2021

Preamble
- IN exercise of the powers conferred by section 613 of the Companies Act 2016 [Act 777], the Minister makes the following regulations: Citation and commencement 1.
(2)
These Regulations come into operation on 19 August 2021.
Amendment of Schedule 2.
The Companies Regulations 2017 [P.U. (A) 37/ 2017] is amended in the Schedule—
(a)
by inserting after item 32 and the particulars relating to it the following item and particulars:

Fees (RM)
“32A.
Lodgement of notice on the increase of share capital of foreign company under subsection 567(3)
of the Act
The difference, if any, between the prescribed fee paid upon registration and the prescribed fee payable on the increase in share capital under column (2)
of item 32”;
(b)
in relation to item 43, in column (2), by substituting for the words “relating to company or corporation” the words “lodged under the Act”;
(c)
in relation to item 45, in column (2), by substituting for the words
“relating to company” the words “under the Act”;

(d)
in relation to item 47, in column (2), by inserting after the word “company”
the words “, shareholder, director, secretary, auditor or liquidator of any company”; and
(e)
in relation to item 48, in column (2), by inserting after the word “document”
the words “or application”.
