(2)

The Chairman shall preside at all meetings of the Board, and if the Chairman is absent from any meeting, the Deputy Chairman shall preside at such meeting.

(3)

The quorum of the Board shall be eight.

(4)

Every member of the Board present at meetings of the Board shall be entitled to one vote.

(5)

All questions raised in meetings of the Board shall be decided by the votes of the majority of the members present, and where there is an equality of votes, the chairman of the meeting shall have the casting vote.

(6)

The Board may determine its own procedure.

(7)

The Board shall cause minutes of all its meetings to be maintained and kept in a proper form.

(8)

A member of the Board shall, as soon as practicable, disclose to the Board any interest, whether substantial or not, which may conflict with the member’s duties as a member of the Board, in a particular matter.

(9)

A disclosure under subsection (8) shall be recorded in the minutes of the meeting in which the disclosure was made, and after the disclosure the member of the Board shall not be present and take part in deliberation or decision of the Board.

(10)

The Board may invite any person to attend meetings of the Board for the purpose of advising it on any matter under discussion but that person shall not be entitled to vote at the meeting or be present during the making of a decision.

(11)

Any person invited to attend any meeting of the Board may be paid such allowances and other expenses as the Board may determine.”.
