Sabah Padi Board Winding Order 1981

to appoint such staff as may be required by the Liquidator in winding-up the Board and to determine their remuneration;

to appoint by notice a day before which creditors whose claims are not already recorded in the books of the Board shall state their claims;

to do all such other things as are necessary in the course of winding-up the affairs of the Board and collecting and distributing its assets;

to take possession of the books, documents and the assets of the Board;

to sell the immoveable and moveable property and things in action of the board by public auction, public tender or private contract with power to transfer the whole thereof to any person or company or to sell the same in parcels;

to pay any class or creditors in full;

to make any compromise or arrangement with creditors or persons claiming to be creditors or having or alleging themselves to have any claim present or future certain or contingent ascertained or sounding only in damages against the Board or whereby the Board may be rendered liable;

to compromise any debts and other liabilities capable of resulting in debts and any claims present or future certain or contingent ascertained or sounding only in damages subsisting between the Board and a contributory or other debtor or person apprehending liability to the Board and all questions in any way relating to or affecting the assets or the winding-up of the Board on such terms as are agreed and take such security for the discharge of any such debt, liability or claim and give a complete discharge in respect thereof;

to do all such acts and execute in the name and on behalf of the Board all deeds receipts and other documents and for that purpose use where necessary the Board’s seal;

to refer disputes to arbitration and institute or defend any action or other legal proceedings in the name and on behalf of the Board;

to terminate the services of any employee of the Board which have not hitherto been terminated.
