(2)

The directors of a Labuan company, notwithstanding anything in the articles, shall, on the requisition of ten or more members, or members holding at the date of the deposit of the requisition not less than one-tenth of the total paid-up capital of the company, forthwith proceed to convene a meeting of members.

(3)

Subject to any limitations in its memorandum and articles, a

Labuan company may hold all meetings of its members within

Malaysia, or elsewhere, at more than one venue using any technology that allows all members a reasonable opportunity to participate in the meetings.

(4)

A member may be represented at a meeting of members by a proxy who may speak and vote on his behalf.

(5)

The following provisions apply in respect of joint ownership of shares:

(a)

if two or more persons hold shares jointly, each of them may be present in person or by proxy at a meeting of members and may speak as a member;

(b)

if only one of them is present in person or by proxy, he may vote on behalf of all of them; and

(c)

if two or more of them are present in person or by proxy, they shall vote as one.
