Section 140

In every transfer of a sublease, there shall be implied the following agreement by the transferee with the transferor, that is to say, that the transferee will henceforth pay the rent by the sublease reserved and perform and observe all the agreements and conditions in the sublease expressed or implied on the part of the sublessee to be performed and observed, and will indemnify and keep harmless the transferor against all actions, claims and expenses in respect of the non-payment of such rent or the breach or non-observance of such agreements or conditions, or any of them.
