Section 42A
(1)
The Board shall establish an Internal Audit Committee consisting of not less than three and not more than five members duly appointed by the Board.
(2)
The duties and responsibilities of the Committee shall be provided in the by-laws.
(3)
For the purpose of this section, the word “officer” as defined in section 2 does not include members of the Internal Audit
Committee.
